Common use of SS&C Responsibilities Clause in Contracts

SS&C Responsibilities. During the Term and subject to the provisions of this Agreement, SS&C shall, at its expense (unless otherwise provided for herein) perform the Digital Solutions Services as described in each Service Exhibit, including provision of all computers, telecommunications connectivity and equipment reasonably necessary at its facilities to operate and maintain the Digital Platform and the SS&C Web Site. SS&C shall at all times perform its obligations under this Agreement with reasonable care, skill, prudence and diligence in a proper and efficient manner in consideration of the fees, expenses and related payment terms listed in Article III below. SS&C shall be under no duty or obligation to perform any service or take any action except as specifically listed in this Agreement and any Service Exhibit thereunder and no other duties or obligations, including valuation related, fiduciary or analogous duties or obligations, shall be implied.
