Sale by Purchaser. In the event that Purchaser (or any affiliate of Purchaser) shall sell, within eight (8) years of the Closing Date, all or substantially all of the Land to a third party not affiliated with Seller or Purchaser and said third party does not intend to use the Land for petroleum-related purposes, then Purchaser shall pay to Seller, within three (3) business days of the closing of such sale, an amount equal to fifty percent (50%) of the Net Proceeds received by Purchaser in connection with such sale.

Sale by Purchaser. The purchaser must procure that a transferee of the property from the purchaser, or any subsequent purchaser, enters into a contract incorporating the terms of clauses relating to the rights of the vendor herein provided that a reference to the vendor will be amended to be a reference to the actual name of the vendor set forth in this contract, or such other entity as required by the vendor.
