Rights and Duties of the Members. 3.1 Management by Member(s). The Company will be managed by the Member(s). The conduct of the Company’s business and the management of its affairs will be exercised and conducted solely by the Member(s) in accordance with this Agreement. Subject to Section 2.5(c)(iii), the Member(s) has the exclusive right to act for the Company and may act for and on behalf of the Company and execute all agreements on behalf of the Company and otherwise bind the Company as to third parties.

Rights and Duties of the Members. Except as otherwise provided herein, the Managing Member shall have full, exclusive and complete authority and discretion in the management and control of the business of the Company and shall make all decisions affecting the business of the Company.   • Rights and Duties of Members 14.1 Subject to duties and obligations of the Managing Member, it is expressly understood that each Member may engage in any other business or investment, whether or not in direct competition with the business of the Company, and neither the Company nor any other Member shall have any rights in and to said businesses or investments, or the income or profits derived therefrom.

  • Rights and Duties of the Board of Managers (a) The Company is a manager-managed limited liability company. Accordingly, management of the affairs of the Company shall be vested in a Board of Managers (the “Board”).
