Restriction Period and Forfeiture. (a) In General. Except as otherwise provided in this Paragraph 4, the restrictions on 50% of the Award Shares shall terminate on January 15, 1999 if on such date the Employee is employed by any of the following: (i) the Company; (ii) any corporation which owns directly or indirectly at least 50% of the outstanding stock of the Company (or the combined voting power of such outstanding stock); or (iii) a corporation at least 50% of whose outstanding stock or the combined voting power of such outstanding stock is owned directly or indirectly by the Company (any corporation described in clause (ii) or (iii) shall be an "Affiliate") and the restrictions on the other 50% of the Award Shares shall terminate on January 15, 2000 if on such date the Employee is employed by the Company or an Affiliate.

  • Restrictions and Forfeiture (i) All Class B Units when issued shall be subject to forfeiture and shall constitute “Restricted Class B Units” and shall remain subject to forfeiture as provided in this Section 16.2(a) until the requirements of this Section 16.2(a) have been satisfied.

  • Restrictions; Forfeiture The Restricted Shares are restricted in that they may not be sold, transferred or otherwise alienated or hypothecated until these restrictions are removed or expire as described in Section 5 or 6 of this Agreement.
