Common use of Responsibility for Use of Software Clause in Contracts

Responsibility for Use of Software. Licensee is responsible for all uses of the Software and Documentation it licenses pursuant to this Agreement, including any unauthorized uses due to loss, theft or unauthorized distribution of the Software and Documentation. Specifically, and without limiting the generality of the foregoing, Licensee is responsible and liable for all actions and failures to take requisite actions with respect to the Software and Documentation by its Authorized Users or by any other Person to whom Licensee or an Authorized User may provide access to or use of the Software and/or Documentation, whether such access or use is permitted by or in violation of this Agreement. Furthermore, Licensee is solely and exclusively responsible for any and all costs and expenses associated with the purchase, licensing, or use of any SAP Products or any other Third Party products or services. Furthermore, in deploying, testing, running, or utilizing the Software, Licensee is solely and exclusively responsible for any impact that the Software may have on the costs of SAP Products or any other Third Party products or services payable by Licensee.
