Responsibilities of the General Partners. Each General Partner shall be responsible for the following:  Source new deals and refer them to the Partnership  Non compete with the Partnership on business being handled by the Partnership  Structure and execute the deals and carry out of all and any ancillary tasks related thereto.  Conduct all due diligence on deals brought to him/her, ensure that the deals are feasible and to do all efforts to bring to a successful conclusion of the deals.  Hold fiduciary responsibility both buyer and seller and must attempt at all times the integrity of the deal.  Pay all the expenses of his/her unit including salaries of his/her staff, travel and entertainment expenses, office expenses, bonuses and general administrative expenses allocated to his/her unit.  Maintain the relationship with the clients and ensure that their interests are best served.  Adherence to high degree of ethics at all times.
