Resignation and Termination of Escrow Agent. Escrow Agent may, upon providing fifteen (15) days' written notice, resign its position and terminate its liabilities and obligations hereunder. In the event Escrow Agent is not notified within fifteen days of the Successor Escrow Agent, Escrow Agent shall be entitled to transfer all funds and assets to a court of competent jurisdiction with a request to have a successor appointed. Upon filing such action and delivering such assets, Escrow Agent's obligations and responsibilities shall cease. Similarly, SA & SI may also jointly terminate Escrow Agent and appoint a Successor Escrow Agent by providing fifteen (15) days written notice to Escrow Agent.

Resignation and Termination of Escrow Agent. Escrow Agent may at any time be removed by the unanimous agreement of the Pledgor and Secured Party. Escrow Agent may at any time resign hereunder by giving at least ten (10) days’ prior written notice thereof to all of the other parties hereto, which resignation shall become effective at the end of such ten (10) day period; provided a new escrow agent has been appointed by Pledgor and the Secured Party. Upon the effective date of such resignation, the Stock Certificates and the Stock Power shall be delivered to the new escrow agent. Upon actual receipt thereof by the new Escrow Agent, all obligations of Escrow Agent hereunder shall cease and terminate.
Resignation and Termination of Escrow Agent. (a) Escrow Agent may resign at any time by giving Digital Angel and Majority Stockholders’ Representative at least thirty (30) days’ prior written notice of such resignation. After giving such notice, Escrow Agent shall have no further obligation hereunder except to hold the Escrow Assets as a depository. If no successor escrow agent shall have been appointed within such 30-day period, the resigning Escrow Agent may, at the expense of Digital Angel, petition any court of competent jurisdiction for the appointment of a successor escrow agent.

  • Resignation and Termination of the Escrow Agent The Escrow Agent may resign at any time by giving 30 days’ prior written notice of such resignation to Underwriter and the Company. If such instructions are not received within 30 days following the effective date of such resignation, then the Escrow Agent may deposit the Escrow Funds held by it pursuant to this Agreement with a clerk of a court of competent jurisdiction pending the appointment of a successor. In either case provided for in this Section, the Escrow Agent shall be relieved of all further obligations and released from all liability thereafter arising with respect to the Escrow Funds.

  • Resignation of the Escrow Agent The Escrow Agent is permitted to resign and be discharged from the performance of the Escrow Agent’s duties under this Escrow Agreement at any time by giving thirty (30) calendar days prior written notice to Parent and the Securityholder Representative specifying a date when such resignation will take effect. After any resigning Escrow Agent’s resignation, the provisions of this Escrow Agreement will inure to such resigning Escrow Agent’s benefit as to any actions taken or omitted to be taken by such resigning Escrow Agent while such resigning Escrow Agent was serving as the Escrow Agent under this Escrow Agreement.

  • Resignation and Removal of Escrow Agent Escrow Agent may resign from the performance of its duties hereunder at any time by giving thirty (30) days' prior written notice to the parties or may be removed, with or without cause, by the parties, acting jointly, by furnishing a Joint Written Direction to Escrow Agent, at any time by the giving of ten (10) days' prior written notice to Escrow Agent as provided herein below.   • Termination of Escrow Agreement The Escrow Agent's responsibilities thereunder shall terminate at such time as the Escrow Fund shall have been fully disbursed pursuant to the terms hereof, or upon earlier termination of this escrow arrangement pursuant to written instructions executed by the non-bank Party.
