Common use of Representatives and Alternates Clause in Contracts

Representatives and Alternates. Each Partner shall also have the right to designate one (1) alternate to each Representative designated by such Partner pursuant to the third sentence of Section 3.3(a) (each, an "Alternate"). In the event a Representative is unable to attend a meeting of the Board of Representatives or otherwise participate in any action to be taken by the Board of Representatives, or with respect to any meeting or matter acted upon at a meeting or any other action to be taken by the Board of Representatives, if directed by the Partner who designated the Representative, the Alternate named by the applicable Partner for such Representative may, and if directed by such Partner shall, act and vote in place of such Representative.
