REPRESENTATIONS AND WARRANTIES OF THE TENANT. As a material inducement for Manager to enter into this Agreement and to consummate the transactions contemplated hereby, Tenant hereby makes the following representations and warranties as of the Effective Date, each of which is relied upon by Manager regardless of any investigation made or information obtained by Manager:
REPRESENTATIONS AND WARRANTIES OF THE TENANT. The Tenant represents and warrants to the Lender that, as at the date of this Agreement: the Lease is in full force and effect and has not been modified or amended; the Tenant has accepted possession of the Premises, and all improvements required by the Lease or otherwise to be made by the Landlord have been completed to the satisfaction of the Tenant, and the Tenant is now in possession of the Premises and is operating its business from the Premises and paying rent to the Landlord; the Tenant has no charge, lien, defense, right of abatement or claim under the Lease or claim of set-off against the rents or other charges due or to become due under the Lease; the rent reserved by the Lease has not been and shall not be demanded, collected, accepted or paid in advance of the time for payment thereof other than in the manner set forth in the Lease; and there is no default by either the Landlord or the Tenant of any of the obligations under the Lease.
