Material Inducement. The expressions of intent, the waivers, the representations and warranties, the covenants, the agreements and the stipulations set forth in this Section are a material inducement to each of Lessor and Lessee in entering into this Lease.
Material Inducement. BUYER SPECIFICALLY ACKNOWLEDGES THAT THE LIMITATIONS ON DAMAGES AND SURVIVAL AND OTHER REMEDIES WHICH BUYER MAY RECOVER FROM AND ENFORCE AGAINST SELLER UNDER THIS AGREEMENT ARE A SPECIFIC AND MATERIAL INDUCEMENT TO SELLER TO ENTER INTO THIS TRANSACTION.
Material Inducement. MIDOCS, Program and Institution each agrees to enter into this Addendum with Resident based on Resident’s voluntary assertions and representations that Resident will complete the Practice Requirement. Such representation is a material inducement for MIDOCS, Program and Institution to enter into this Addendum and to agree to provide such educational opportunity to Resident. It is further understood and agreed that without such commitment by Resident neither MIDOCS, Program nor Institution would enter into this Addendum.
Material Inducement. Tenant understands, acknowledges and agrees that (a) Landlord’s option to sublease from Tenant any space which Tenant proposes to sublease or terminate this Lease upon any proposed assignment or encumbrance of this Lease by Tenant as provided in Section 14.3(b) above rather than approve the proposed sublease, assignment or encumbrance, and (b) Landlord’s right to receive any excess consideration paid by a Transferee in connection with an approved Transfer as provided in Section 14.4(d) above, are a material inducement for Landlord’s agreement to lease the Premises to Tenant upon the terms and conditions herein set forth.
Material Inducement. The Company acknowledges that the Lender is relying on the representations and covenants made by the Company and the Transfer Agent hereunder and such representations and covenants are a material inducement to the Lender entering into the Credit Agreement. The Company further acknowledges that without such representations and covenants of the Company and Transfer Agent made hereunder, the Lender would not enter into the Credit Agreement.
Material Inducement. For the purposes of this Section 4.8, references to the “Company” shall include the Company Group. Employee understands and hereby acknowledges that Employee’s agreement to be bound by the protective covenants set forth in this Article IV is a material inducement for the Company entering into this Agreement and agreeing to pay Employee the compensation and benefits set forth herein and to provide Employee the Confidential Information, and that the Company has made substantial investments to develop the business interests, goodwill and Confidential Information of the Company and the Company Group. Further, Employee understands the foregoing restrictions may limit his ability to engage in certain businesses during the period of time provided for, but acknowledges that Employee will receive sufficiently high remuneration and other benefits under this Agreement to justify such restriction and Employee represents and warrants that the knowledge, skills and abilities he possesses as of the Effective Date of this Agreement are sufficient to permit him, in the event of termination of his employment with the Company, to earn a livelihood satisfactory to himself without violating any provision of this Article IV. Nothing in this Article IV shall confer upon Employee any right to continue in the employ of the Company or shall interfere with or restrict in any way the rights of the Company, which, subject to the terms of this Agreement, are hereby reserved, to discharge Employee at any time for any reason whatsoever, with or without cause.
Material Inducement. The covenants made by the Executive under this Section 5 are a material inducement for GRS to consummate the Purchase Agreements, and the parties expressly acknowledge and agree that GRS would not agree to make the Purchase Agreements if the covenants of the Executive under this Section 5 were not being made. Notwithstanding anything to the contrary contained herein, the provisions of this Section 5 shall survive the expiration or termination of this Agreement or Executive's employment hereunder.
Material Inducement. Borrower acknowledges and agrees that the representations, warranties, covenants and agreements contained in this Section 9.1 constitute a material inducement to Lender to enter into this Agreement, the other Loan Documents and the transactions contemplated hereby and thereby and that without the inclusion of this Section 9.1 herein Lender would not have entered into this Agreement and the other Loan Documents.
Material Inducement. Each Credit Party further acknowledges and agrees that the representations, acknowledgments, agreements and warranties in this Amendment have been made by Credit Parties as a material inducement to Administrative Agent and the Lenders to into this Amendment, that Administrative Agent and the Lenders are relying on such representations and warranties, and that Administrative Agent and the Lenders would not have entered into this Amendment without such representations, acknowledgments, agreements, and warranties.
Material Inducement. Tenant understands, acknowledges and agrees that (a) Landlord’s option to recapture all or any portion of the Subject Space as provided in Section 14.3(b) above rather than approve the proposed Transfer, and (b) Landlord’s right to receive a portion of any excess consideration paid by a Transferee in connection with an approved Transfer as provided in Section 14.4(d) above, are a material inducement for Landlord’s agreement to lease the Premises to Tenant upon the terms and conditions herein set forth.
