REPRESENTATIONS AND WARRANTIES OF THE SELLER AND THE ACQUIRED COMPANIES. Each Acquired Company and the Seller, jointly and severally, represent and warrant to the Purchaser as of the Closing Date, except as expressly indicated on the Disclosure Schedule which exceptions are deemed to be representations and warranties as if made within this Article 3 and to modify the representations and warranties made in this Article 3, as follows:
