REPRESENTATIONS AND WARRANTIES OF SELLER AND MEMBERS. Seller represents and warrants to Buyer that the statements contained below in this Article 3 are correct and complete in all material respects as of the Signing Date. Except for the representations and warranties contained in this Article 3, Seller has not made nor does it now make to Buyer any representation, warranty or guaranty of any kind whatsoever, express or implied, including, without limitation, with respect to any aspect of the Intellectual Property.
REPRESENTATIONS AND WARRANTIES OF SELLER AND MEMBERS. The Seller and the Members jointly and severally represent and warrant to, and agree with, the Buyer as of the date hereof as follows, except as set forth in the disclosure schedules to be delivered by Buyer and attached to this Agreement (the “Disclosure Schedules”). The Disclosure Schedules will be arranged for purposes of convenience only, in sections corresponding to the Subsections of this Section 2.1 and will provide exceptions to the representations and warranties contained in Section 2.1 whether or not a specific reference to such Disclosure Schedules are included in a representation and warranty contained in this Section 2.1.

To induce Buyer to execute, deliver and perform this Agreement, and in acknowledgement of Buyer's reliance on the following representations and warranties (in addition to the representations and warranties in Article l), Seller and Members hereby jointly and severally represent and warrant to Buyer as follows as of the date hereof and as of the Closing Date:
