As a material inducement to the Company to enter into this Agreement and to sell the Common Stock and Warrants, Insight represents and warrants that each of the following statements are true and correct as of the date hereof and will be true and correct at Closing except as expressly qualified or modified herein.

REPRESENTATIONS AND WARRANTIES OF INSIGHT. Insight hereby makes the following representations and warranties to Parent and First Financial, as of the date of this Agreement and as of the Closing (except to the extent made only as of a specified date, in which case as of such date), except as set forth in the written Disclosure Schedule delivered by Insight to Parent. Such Insight Disclosure Schedule shall be arranged in sections corresponding to the numbered and lettered sections and subsections contained in this ARTICLE III, and the disclosures in any section or subsection of the Insight Disclosure Schedule shall qualify other sections and subsections in this ARTICLE III to the extent such other sections and subsections are specifically referenced or cross-referenced and to the extent that it is reasonably apparent from the face of such disclosure (notwithstanding the absence of a specific cross reference) that such disclosure relates to another section of the Disclosure Schedules.
