Representations and Warranties of EISAI. EISAI hereby represents and warrants to EPIZYME, as of the Restatement Date, that (a) to EISAI’s knowledge, neither EISAI nor any Affiliate owns or controls any rights to EZH2 Compounds except for Licensed Compounds to which it has been granted rights hereunder, (b) EISAI is entitled to grant to EPIZYME the licenses specified herein, and (c) the conception, development and reduction to practice of Collaboration Patents and Collaboration Know-How, in each case by or on behalf of EISAI and its Affiliates prior to the Restatement Date, have not constituted or involved the misappropriation of trade secrets or other rights or property of any Person.
