REPRESENTATION AND WARRANTY OF PURCHASER. 5.1 Purchaser hereby represents and warrants to Vendor that the Purchaser is acquiring the Shares for its own account for the purpose of investment and not with a view to, or for sale in connection with, any distribution of such Shares, nor with any present intention of distributing or selling such Shares, except insofar as such Shares are included in a public offering registered pursuant to the Securities Act of 1933, as amended, or the disposition thereof is exempt from such registration. Purchaser understands that the Shares have not been registered under U.S. securities laws and that such Shares are being offered and sold to Purchaser pursuant to a claimed exemption from the registration requirements of such laws.
REPRESENTATION AND WARRANTY OF PURCHASER. The Purchaser represents and warrants to the Vendor that the projections attached to the Disclosure Letter represent a reasonable, best efforts projection for the Purchaser, (excluding the expenses contemplated by this Agreement, which expenses shall be no greater than $1,250,000) based on all facts known by the Purchaser as at the date of the Disclosure Letter, for the 1998 calendar year.
REPRESENTATION AND WARRANTY OF PURCHASER. Purchaser hereby represents and warrants to the Company that any Shares acquired by Purchaser hereunder will be acquired for investment only and not with a view to any public distribution of all or any portion thereof, and Purchaser will not offer to sell or otherwise dispose of all or any portion of such Shares in violation of any of the registration requirements of the Securities Act.
