Replacement Inventory. Distributor shall maintain an inventory of Instrumentation components and such other products necessary for Distributor to fulfill its obligations under all existing Service Contracts and warranty claims made by End Users, as further described in this Article 11. To ensure the quality of Licensed Products and preserve the goodwill associated with them, replacement parts for any Instrumentation must be ordered through Xenogen, and Licensed Products may be maintained and repaired only with Xenogen-approved replacement parts.

Replacement Inventory. At the request of PDI or its designated agent, Manufacturer shall ship parts and assemblies for the Product(s) that are the equivalent in specifications and quality to the original parts supplied with the Product(s). At the request of PDI, Manufacturer shall maintain an inventory of general replacement parts or special parts as forecasted by PDI. During such time, Manufacturer shall supply parts to PDI or its designated agent at reasonable, competitive rates as may be necessary to perform out-of-warranty repairs. As required, the Parties will enter into separate agreement(s) covering spare parts and refurbished assemblies.

  • Inventory To the extent Inventory held for sale or lease has been produced by any Borrower, it has been and will be produced by such Borrower in accordance with the Federal Fair Labor Standards Act of 1938, as amended, and all rules, regulations and orders thereunder.

  • Location of Equipment and Inventory All Equipment and Inventory are (i) located at the locations indicated on Schedule 4 (ii) in transit to such locations or (iii) in transit to a third party purchaser which will become obligated on a Receivable to the Debtor upon receipt.
