Common use of Repayment of Expenses Clause in Contracts

Repayment of Expenses. Indemnitee agrees that Indemnitee will reimburse the Corporation for all reasonable Expenses paid by the Corporation in defending any Proceeding against Indemnitee in the event and only to the extent that it shall be ultimately determined by a court of competent jurisdiction that Indemnitee is not entitled to be indemnified by the Corporation for such Expenses under the provisions of the charter, by-laws, this Agreement, the Delaware General Corporation Laws, or otherwise.

Repayment of Expenses.
