Reliance by Parent and Merger Sub. Stockholder understands and acknowledges that Parent and Merger Sub are entering into the Merger Agreement in reliance upon Stockholder’s execution and delivery of this Agreement.
Reliance by Parent and Merger Sub. Such Shareholder understands and acknowledges that Parent and Merger Sub’s willingness to enter into the Merger Agreement is subject to such Shareholder’s execution and delivery of this Agreement.
Reliance by Parent and Merger Sub. The Shareholder understands and acknowledges that Parent and Merger Sub are entering into the Merger Agreement in reliance upon the execution and delivery of this Agreement by the Shareholder and the representations, warranties, covenants and agreements of the Shareholder contained herein and that the same are a material inducement thereto. The Shareholder understands and acknowledges that the Merger Agreement governs the terms of the Offer, Merger and the other transactions contemplated thereby. The Shareholder has received and reviewed a copy of the Merger Agreement.
Reliance by Parent and Merger Sub. Such Securityholder understands and acknowledges that Parent and Merger Sub are entering into the Merger Agreement in reliance upon such Securityholder’s execution, delivery and performance of this Agreement.
Reliance by Parent and Merger Sub. Such Rollover Shareholder understands and acknowledges that Parent and Merger Sub are entering into the Merger Agreement in reliance upon such Rollover Shareholder’s execution, delivery and performance of this Agreement.
Reliance by Parent and Merger Sub. Stockholder and the Significant Holders understand and acknowledge that Parent and Merger Sub are entering into the Merger Agreement in reliance upon Stockholder's and the Significant Holders' execution and delivery of this Agreement and the representations and warranties of Stockholder and the Significant Holders contained herein. Stockholder and the Significant Holders understand and acknowledge that the Merger Agreement governs the terms of the Merger and the other transactions contemplated thereby. ARTICLE III
Reliance by Parent and Merger Sub. The Electing Person understands and acknowledges that Parent and Merger Sub are entering into the Merger Agreement in reliance upon his execution and delivery of this Election Agreement and the representations and warranties of him contained herein.
Reliance by Parent and Merger Sub. Such Noteholder understands and acknowledges that Parent and Merger Sub have entered into the Merger Agreement in reliance upon such Noteholder’s execution, delivery and performance of this Agreement.
Reliance by Parent and Merger Sub. Such Principal Holder understands and acknowledges that Parent and Merger Sub are entering into the Merger Agreement in reliance upon the execution and delivery of this Agreement by such Principal Holder and the representations, warranties, covenants and agreements of such Principal Holder contained herein and that the same are a material inducement thereto. Such Principal Holder understands and acknowledges that the Merger Agreement governs the terms of the Offer, Merger and the other Transactions. Such Principal Holder has received and reviewed a copy of the Merger Agreement.
Reliance by Parent and Merger Sub. Notwithstanding the right of Parent and Merger Sub to investigate the business, Assets and financial condition of the Company Group, and notwithstanding any knowledge obtainable by Parent and Merger Sub as a result of such investigation, Parent and Merger Sub have the unqualified right to rely upon, and have relied upon, each of the representations and warranties made by the Company and the Voting Stockholders in this Agreement.
