If the Servicer (at the direction of the Majority Class X Certificateholder), or the Servicer, individually, elects to terminate the Trust Fund pursuant to clause (a) of Section 9.01, by the 25th day of the month preceding the month of the final distribution, the Electing Person shall notify the Servicer, the Depositor and the Trustee in writing of the date the Electing Person intends to terminate the Trust Fund and of the applicable Termination Price of the Mortgage Loans and REO Properties.
In the event such Notice of Final Distribution is given and the Electing Person is the Servicer, the Servicer shall deposit the Termination Price in the Collection Account at or prior to 1:00 p.m. (Eastern time) on the Business Day immediately prior to the applicable Distribution Date.
At any time that a vacancy is created on the Board by the death, removal or resignation of any Director, the Electing Person shall nominate a Director to fill such vacancy in accordance with Section 3.1(d).
The Electing Person has full power and authority to execute and deliver this Election Agreement, to perform his obligations hereunder and to consummate the transactions contemplated hereby.
In such request, each Electing Person shall irrevocably agree to sell all or a portion of the balance of such Member's Capital Account (for each Electing Person, such amount shall be its "Withdrawal Amount") and to surrender all redeemed Interests at the Effective Time.
