Reliance by Parent and Acquisition Sub. Notwithstanding the right of Parent and Acquisition Sub to investigate the business, Assets and financial condition of the Acquired Companies, and notwithstanding any knowledge obtained or obtainable by Parent and Acquisition Sub as a result of such investigation, Parent and Acquisition Sub have the unqualified right to rely upon, and have relied upon, each of the representations and warranties made by Company in this Agreement or pursuant hereto.
Reliance by Parent and Acquisition Sub. Each Stockholder understands, acknowledges and agrees that Parent and Acquisition Sub are entering into the Merger Agreement in reliance upon such Stockholder’s execution and delivery of this Agreement. Such Stockholder understands and acknowledges that the Merger Agreement governs the terms of the Merger and the other matters specified therein.
Reliance by Parent and Acquisition Sub. Such Principal Holder understands and acknowledges that Parent and Acquisition Sub are entering into the Merger Agreement in reliance upon the execution and delivery of this Agreement by such Principal Holder and the representations, warranties, covenants and agreements of such Principal Holder contained herein and that the same are a material inducement thereto. Such Principal Holder understands and acknowledges that the Merger Agreement governs the terms of the Offer, Merger and the other Transactions. Such Principal Holder has received and reviewed a copy of the Merger Agreement.
Reliance by Parent and Acquisition Sub. Each of Parent and Acquisition Sub acknowledges that, except for the representations and warranties contained in Article III, neither Company nor any other Person has made, and neither Parent nor Acquisition Sub has relied on, any other express or implied representation or warranty by or on behalf of Company. Each of Parent and Acquisition Sub acknowledge that neither Company nor any other Person, directly or indirectly, has made, and neither Parent nor Acquisition Sub has relied on, any representation or warranty regarding the pro-forma financial information, financial projections or other forward-looking statements of Company, and each of Parent and Acquisition Sub will make no claim with respect thereto.
