The principal office of the Company shall be located at such place within or without the State of Delaware, and the Company shall maintain such records, as the Members shall determine from time to time.

The Operator may from time to time designate a successor registered office and registered agent and may amend the certificate of formation of the Company to reflect the change following receipt of any required Shareholders or Board approval. The location of the principal place of business of the Company shall be the Operator’s principal place of business or other location selected by the Operator.

The Board (as such term is defined below) may, from time to time, change the registered agent or office through appropriate filings with the Secretary of State ofthe State of Delaware.
