Common use of RECONSTRUCTION OR AMALGAMATION Clause in Contracts

RECONSTRUCTION OR AMALGAMATION. If the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement then the Executive shall have no claim against any Group Company in respect of the termination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. If the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement then the Executive shall have no claim against the Company or any Group Company in respect of the termination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. If before the expiration of this Agreement the employment of the Executive under this Agreement is hereunder shall be terminated by reason of the liquidation of the Company for the purpose of amalgamation or reconstruction or as part of any arrangement for the amalgamation of the undertaking of the Company not involving a liquidation and the Executive is shall be offered employment with any concern the amalgamated or undertaking resulting from the reconstruction or amalgamation reconstructed company on terms and conditions not no less favourable than the terms of this Agreement then the Executive shall have no claim against any Group the Company in respect of the termination of his employment under this Agreementby the Company hereunder.

RECONSTRUCTION OR AMALGAMATION. If the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company Employer for the purpose of reconstruction or amalgamation and the Executive is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable favorable than the terms of this Agreement then the Executive shall have no claim against the Employer or any Group Company in respect of the termination of his employment under this Agreement.

If before the expiration of this Agreement the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is shall be offered employment with any concern or undertaking resulting from the such reconstruction or amalgamation for a period not less than the unexpired term of this Agreement and on terms and conditions not less favourable than the terms of this Agreement then the Executive shall have no claim against any Group the Company in respect of the termination of his employment under this Agreementhereunder by reason of such liquidation.

If before the employment termination of the Executive under this Agreement is terminated the Employment shall be determined by reason of the liquidation of the Company for the purpose purposes of reconstruction or amalgamation and the Executive is shall be offered employment with any concern or undertaking resulting from the such reconstruction or amalgamation on terms and conditions not no less favourable favorable than the terms of this Agreement then the Executive shall have no claim against any Group the Company in respect of the termination determination of his employment under this Agreementthe Employment.

RECONSTRUCTION OR AMALGAMATION. 18.1 If the employment of the Executive Director under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive Director is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement then the Executive Director shall have no claim against any Group the Company in respect of the termination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. If the employment of the Executive under this Agreement is terminated tenninated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement Agreement, then the Executive shall have no claim against any Group the Company in respect of the termination tennination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. 20.1 If the Executive’s employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of in order to effect its reconstruction or amalgamation and amalgamation, the Executive will have no claim against the Company provided that he is offered employment with any concern the Company or undertaking resulting from the reconstruction or amalgamation on terms and conditions not that are no less favourable to him than the terms of this Agreement then the Executive shall have no claim against any Group Company in respect of the termination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. If the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement then the Executive shall have no claim against the any Group Company in respect of the termination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. If before the expiration of this Agreement the employment of the Executive under this Agreement is hereunder shall be terminated by reason of the liquidation cessation of business by the Company or the winding up of the Company for the purpose of reconstruction or amalgamation amalgamation, and the Executive is he shall be offered employment with any concern or undertaking resulting from the such reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement Agreement, then the Executive shall have no claim against the Company or any other Group Company in respect of the termination determination of his employment under this Agreementhereunder.

If the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is offered reasonable alternative employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement then the Executive shall have no claim against any Group the Company in respect of the termination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. If the employment of the Executive under the this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement Agreement, then the Executive shall have no claim against the Company or any Group Associated Company in respect of the termination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. 12.1 If before the expiration of this Agreement the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is shall be offered employment with any concern or undertaking resulting from the such reconstruction or amalgamation for a period not less than the unexpired term of this Agreement and on terms and conditions not less favourable than the terms of this Agreement then the Executive shall have no claim against any Group the Company in respect of the termination of his employment under this Agreementhereunder by reason of such liquidation.

RECONSTRUCTION OR AMALGAMATION. If before the termination of this Agreement the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is offered employment with any concern or undertaking company resulting from the such reconstruction or amalgamation or with any Associated Company, in the capacity of Chief Executive on terms and conditions not less favourable than the terms of this Agreement Agreement, then the Executive shall have no claim against any Group the Company in respect of the termination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. If before the employment termination of the Executive under this Agreement is terminated the Employment shall be determined by reason of the liquidation of the Company for the purpose purposes of reconstruction 107 or amalgamation and the Executive is shall be offered employment with any concern or undertaking resulting from the such reconstruction or amalgamation on terms and conditions not no less favourable favorable than the terms of this Agreement then the Executive shall have no claim against any Group the Company in respect of the termination determination of his employment under this Agreementthe Employment.

RECONSTRUCTION OR AMALGAMATION. If the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement then the Executive shall have no claim against the Company or any Group Company in will respect of the termination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. If the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement Agreement, which the Executive unreasonably refuses, then the Executive shall have no claim against the Company or any Group Company in respect of the termination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. If the employment of the Executive under this Agreement is terminated by reason because of the liquidation of the Company for the purpose of amalgamation or reconstruction or amalgamation and the Executive is offered employment with any concern such amalgamated or undertaking resulting from the reconstruction or amalgamation reconstructed company in a position and on terms and conditions not less favourable than (mutatis mutandis) identical in all respects to the terms of this Agreement then Agreement, the Executive shall have no claim against any Group the Company in respect of the termination of his employment under this Agreementsuch termination.

RECONSTRUCTION OR AMALGAMATION. If the employment of the Executive under this Agreement agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement then the Executive shall have no claim against any Group the Company in respect of the termination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. If the Executive’s employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation amalgamation, and the Executive is offered employment with any concern or undertaking resulting from the such reconstruction or amalgamation on terms and conditions which, taken as a whole, are not substantially less favourable than the terms of this Agreement then Agreement, the Executive shall have no claim against any Group the Company in respect of the termination of his employment under this Agreementemployment.

RECONSTRUCTION OR AMALGAMATION. If before the expiration of this Agreement the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is shall be offered employment with any concern or undertaking resulting from the such reconstruction or amalgamation for a period not less than the unexpired term of this Agreement and on terms and conditions not less favourable than the terms of this Agreement then the Executive shall have no claim against any Group the Company in respect of the termination of his employment under this Agreementhereunder by reason of such liquidation. 18.

RECONSTRUCTION OR AMALGAMATION. 17.1 If the employment of the Executive Director under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive Director is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement then the Executive Director shall have no claim against any Group the Company in respect of the termination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. If before the expiration of this Agreement the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is shall be offered employment with any concern or undertaking resulting from the such reconstruction or amalgamation for a period not less than the unexpired term of this Agreement and on terms and conditions not less favourable than the terms of this Agreement then the Executive shall have no claim against any Group the Company in respect of the termination of his employment under this Agreementhereunder by reason of such liquidation. 5 7 18.
