Reasons for Disapproval. Whenever in this Agreement a Party is given the right to consent to, approve or disapprove any matter or action, any disapproval shall be timely and reasonable and shall state the specific reasons therefor, except where it is specifically provided that a Party may withhold consent or approval or otherwise act in its sole discretion.
