If the Purchaser receives any pleadings, subpoena, investigative demand or inquiry or similar request or process (collectively, “Pleadings”) relating to any Purchased Loan (A) that names the Seller or one of its Affiliates as a party or (B) that relates to events or circumstances prior to the applicable Purchase Date or this Agreement or the transactions contemplated hereby, then, within five (5) Business Days after the Purchaser’s receipt of any such Pleadings, the Purchaser shall notify the Seller thereof and promptly deliver copies of any such Pleadings to the Seller.
