Common use of PURPOSE AND IMPLEMENTATION Clause in Contracts

PURPOSE AND IMPLEMENTATION. This Umbrella Agreement (hereinafter referred to as the "Agreement" or "Umbrella Agreement") shall be for the purpose of sharing NASA technology to a new untapped community for a twofold purpose: 1) Connecting the NASA technology to startups that could commercialize the technology for the betterment of life on Earth and 2) to potentially mature NASA technology that could be used for the commercial space market. Through this partnership, the Founder Institute Space Tech Accelerator program will empower early-stage space entrepreneurs to build leading Space companies by providing expert mentorship. The program will be congruent to the Silicon Valley Founder Institute program, so that all participants receive the full benefits of the Founder Institute program in addition to added support through the vertical. Company founders will receive access to NASA Xxxx' resources, including technology licensing opportunities through NASA’s Technology Transfer office. Impact in the San Francisco Bay Area and State of California is expected by fostering a nascent space-based startup ecosystem, contributing to a dynamic startup community, creating both high quality and vocational jobs, attracting and retaining talent, and stimulating economic activity, among others. In parallel, NASA will engage a new innovation ecosystem and show concrete examples of economic benefits for its research activities. The Agency will also reach a large new community of entrepreneurs to create solutions to support space exploration. As the community grows, NASA will be able to share, through FI, our space exploration challenges that we are seeking solutions from innovation communities throughout the United States. The ultimate goal to increase the success rates of the startups that license NASA technology. This agreement will allow NASA to leverage the FI community in a manner that will effectively and efficiently determine viable transferees for NASA technology. Once a startup is in a position to license the technology and the startup is deemed an acceptable candidate by NASA, NASA will enter into a licensing agreement with the startup. Each license will be separately negotiated between NASA and the startup company. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the "Annex") concurrently with this Umbrella Agreement. The Parties may execute subsequent Annexes under this Umbrella Agreement consistent with the purpose and terms of this Umbrella Agreement. This Umbrella Agreement shall govern all Annexes executed hereunder; no Annex shall amend this Umbrella Agreement. Each Annex will detail the specific purpose of the proposed activity, responsibilities, schedule and milestones, and any personnel, property or facilities to be utilized under the task. This Umbrella Agreement takes precedence over any Annexes. In the event of a conflict between the Umbrella Agreement and any Annex concerning the meaning of its provisions, and the rights, obligations and remedies of the Parties, the Umbrella Agreement is controlling.

NASA technology that could be used and ORAU share a particular interest in engaging students who attend US Department of Education designated Minority-Serving Institutions (MSIs) in high quality internships, fellowships and other experiences. As part of the ORAU mission to advance national priorities in science, health, and education, ORAU coordinates with federal agencies to provide students and faculty with access to research experiences. ORAU emphasizes engagement of Minority Serving Institutions in federal programs. OARU places a particular emphasis on working with Historically Black Colleges and Universities (HBCUs), Hispanic-Serving Institutions (HSIs) and Minority-Serving Institutions as part of a larger effort to on developing institutional capacity for the commercial space marketscientific research. Through this partnership, Agreement ORAU and NASA will engage in strategies to engage students. This Agreement is being entered into in accordance with Executive Order 13779 to promote excellence and innovation at Historically Black Colleges and Universities (HBCU), Executive Order 14035 promoting diversity, equality, inclusion, and accessibility in the Federal Workforce, and Executive Order 13985 promoting advancing racial equity and support for underserved communities through the federal government. TSU, an HBCU and heralded pioneering academic institution, has distinguished itself by producing a significant number of African American students who have obtained post-secondary and advanced degrees in STEM disciplines. The activities under this Agreement will provide NASA the opportunity to support the institution's ability to participate in Federal programs and explore new ways for TSU to increase awareness of opportunities with NASA. This partnership will enable JSC to reduce gaps in mission relevant technology development essential for future Human Spaceflight missions while also providing NASA an opportunity to disseminate information about programs and activities to a new untapped community for a twofold purpose: 1) Connecting the NASA technology to startups that could commercialize the technology for the betterment of life on Earth wide audience from underserved and 2) to potentially mature NASA technology that could be used for the commercial space market.
