If any part or provision of this Memorandum of Understanding is in conflict or inconsistent with such applicable provisions of federal, state, or County laws, rules or and regulations, or is otherwise held to be mandated as invalid or unenforceable by any tribunal of competent jurisdiction, such part or provision shall be suspended and superseded by such applicable law, law or regulations, or rules, and the remainder of this Memorandum of Understanding shall not be affected thereby.
