Provider’s Indemnification. The Provider shall indemnify, defend and hold the Northern Border Companies and their general partners and their respective employees, directors, policy committee members, officers, representatives and agents harmless from and against all Liabilities arising out of the performance of this Agreement and resulting from the gross negligence or willful misconduct of the Provider or its Affiliates.

Provider’s Indemnification. The Provider shall indemnify, defend and hold harmless the Purchaser and its directors, officers and employees, and each of the successors and assigns of any of the foregoing from and against any and all claims relating to, arising out of or resulting from the Provider’s gross negligence or willful misconduct in the performance of its obligations hereunder, other than to the extent such claims are attributable to the gross negligence, negligence, willful misconduct or breach of this Agreement by any Person so indemnified by the Provider.
