Outputs The outputs of this Agreement will be: Construction of the Mowbray River pedestrian bridge and trail works (Mowbray River to Port Xxxxxxx) – Stage 1, including: Demolition of the Old Mowbray River Road Bridge Pedestrian bridge over the Mowbray River Viewing platform and underpass Mangrove experience boardwalk Trail to Four Mile Beach and Flagstaff Hill in Port Xxxxxxx Construction of part of the remaining trail (Mowbray River south to Palm Cove, via Wangetti) – Stage 2: Advancement of Indigenous participation on the Wangetti Trail, including; Cultural heritage agreements Indigenous Land Use Agreement (ILUA) Facilitation and development of Indigenous jobs and business opportunities associated with the construction and operation of the trail. Part 3 — roles and responsibilities of each party Role of the Commonwealth The Commonwealth will be responsible for: monitoring and assessing achievement against milestones in the delivery of the Wangetti Trail under this Agreement to ensure that outputs are delivered within the agreed timeframe; providing a consequent financial contribution to the States to support the implementation of this Agreement. in accordance with the Building and Construction Industry (Improving Productivity) Xxx 0000, ensuring that financial contributions to a building project or projects as defined under the Fair Work (Building Industry – Accreditation Scheme) Regulations 2016 are only made where a builder or builders accredited under the Australian Government Building and Construction WHS Accreditation Scheme is contracted; and ensuring that compliance with the Code for the Tendering and Performance of Building Work 2016 (Building Code 2016) is a condition of Australian Government funding. Role of the States and Territories Queensland will be responsible for: providing a financial contribution to support the implementation of this Agreement; all aspects of delivering on the project outputs set out in this Agreement; reporting on the delivery of outputs as set out in Part 4 – Project Milestones, Reporting and Payments; ensuring that only a builder or builders accredited under the Australian Government Building and Construction WHS Accreditation Scheme is contracted, and providing the necessary assurances to the Commonwealth; and ensuring that compliance with the Building Code 2016 is made a condition of tender for and performance of building work by all contractors and subcontractors, and providing the necessary assurances to the Commonwealth. Shared roles The Parties will meet the requirements of Schedule E, Clause 26 of the IGA FFR, by ensuring that prior agreement is reached on the nature and content of any events, announcements, promotional material or publicity relating to activities under this Agreement, and that the roles of both Parties will be acknowledged and recognised appropriately.

Outputs The outputs of this Agreement will be: Construction delivery of the Mowbray River pedestrian bridge $33.75 million Western Sydney Housing Package, which will support improved planning outcomes in the Western City; and trail works (Mowbray River to Port Xxxxxxx) – Stage 1, including: Demolition delivery of the Old Mowbray River Road Bridge Pedestrian bridge over $150 million Western Parkland City Liveability Program, which will support community infrastructure projects delivered by local governments that are party to the Mowbray River Viewing platform Western Sydney City Deal. The Western Sydney Housing Package comprises the following initiatives: developing and underpass Mangrove experience boardwalk Trail to Four Mile Beach and Flagstaff Hill applying uniform engineering design standards for local infrastructure when assessing development proposals in Port Xxxxxxx Construction of part of the remaining trail (Mowbray River south to Palm Cove, via Wangetti) – Stage 2: Advancement of Indigenous participation on the Wangetti Trail, includingWestern City; Cultural heritage agreements Indigenous making a Land Use Agreement (ILUA) Facilitation and development Infrastructure Implementation Plan and a Special Infrastructure Contribution scheme for the Greater Penrith to Eastern Creek Growth Area; establishing a pilot Growth Infrastructure Compact for the Western Sydney Aerotropolis, informed by published results of Indigenous jobs sub-regional models for future transport and business opportunities associated with water infrastructure needs; making new Local Environment Plans for six local governments in the construction City Deal area facing higher housing growth within two years rather than three that reflect the new Local Housing Strategies and operation of the trailfive and 20 year local government area and district housing targets. The Western Parkland City Liveability Program will support local governments to deliver community infrastructure to improve liveability in the Western City. Part 3 — roles and responsibilities of each party Role of the Commonwealth The Commonwealth will be responsible for: monitoring and assessing achievement against milestones in the delivery of the Wangetti Trail projects under this Agreement to ensure that outputs are delivered within the agreed timeframe; providing a consequent financial contribution to the States New South Wales to support the implementation of this Agreement. Agreement and its Schedules; in accordance with the Building and Construction Industry (Improving Productivity) Xxx 0000, ensuring that financial contributions to a building project or projects as defined under the Fair Work (Building Industry – Accreditation Scheme) Regulations 2016 are only made where a builder or builders accredited under the Australian Government Building and Construction WHS Accreditation Scheme is contractedcontracted (subject to the financial thresholds defined in the Scheme); and ensuring that compliance with the Code for the Tendering and Performance of Building Work 2016 (Building Code 2016) is a condition of Australian Government fundingfunding (subject to the financial thresholds defined in the Scheme). Role of the States and Territories Queensland New South Wales New South Wales will be responsible for: providing a financial contribution to support the implementation of this Agreement; ensuring the delivery of all aspects of delivering on the project outputs set out in this Agreement; administering the Western Parkland City Liveability Program; working with and funding local governments to support the delivery of the Western Sydney Housing Package; making relevant payments to local governments as they meet relevant performance milestones as set out in Part 4; reporting on the delivery of outputs as set out in Part 4 – Project Milestones, Reporting and Payments; ensuring that only a builder or builders accredited under the Australian Government Building and Construction WHS Accreditation Scheme is contractedcontracted (subject to the financial thresholds defined in the Scheme), and providing the necessary assurances to the Commonwealth; and ensuring that compliance with the Building Code 2016 is made a condition of tender for and performance of building work by all contractors and subcontractorssubcontractors (subject to the financial thresholds defined in the Scheme), and providing the necessary assurances to the Commonwealth. Outputs The outputs of this Agreement will bebe construction of sustainable irrigation infrastructure schemes which may include: Construction Southern Highlands Irrigation Scheme; Swan Valley Irrigation Scheme; North Esk Irrigation Scheme; Scottsdale Irrigation Scheme; Duck Irrigation Scheme; and other agreed schemes, in accordance with Clause 27 and 28 of the Mowbray River pedestrian bridge this Agreement. The funding of irrigation schemes will be subject to available funds and trail works (Mowbray River to Port Xxxxxxx) – Stage 1, including: Demolition of the Old Mowbray River Road Bridge Pedestrian bridge over the Mowbray River Viewing platform and underpass Mangrove experience boardwalk Trail to Four Mile Beach and Flagstaff Hill assessment in Port Xxxxxxx Construction of part of the remaining trail (Mowbray River south to Palm Cove, via Wangetti) – Stage 2: Advancement of Indigenous participation on the Wangetti Trail, including; Cultural heritage agreements Indigenous Land Use Agreement (ILUA) Facilitation and development of Indigenous jobs and business opportunities associated accordance with the construction Due Diligence Guidelines and operation of the trailCriteria at Schedule A to this Agreement. Part 3 — roles and responsibilities of each party Role of the Commonwealth The Commonwealth will be responsible for: monitoring and assessing achievement against milestones in the delivery of the Wangetti Trail irrigation infrastructure schemes under this Agreement to ensure that outputs are delivered within the agreed timeframe; providing a consequent financial contribution to the States Tasmania to support the implementation of this Agreement. ; where applicable, in accordance with the Fair Work (Building and Construction Industry (Improving ProductivityIndustry) Xxx 0000, ensuring that financial contributions to a building project or projects as defined under the Fair Work (Building Industry – Accreditation Scheme) Regulations 2016 2005, are only made where a builder or builders accredited under the Australian Government Building and Construction WHS Accreditation Scheme is contracted; and where applicable, ensuring that compliance with the Code for the Tendering and Performance of Building Work 2016 (Building Code 2016) 2013 is a condition of Australian Government funding. Role of the States and Territories Queensland Tasmania Tasmania will be responsible for: providing a financial contribution to support the implementation of this Agreement; liaising with private investors/irrigators in each of the irrigation scheme areas, including in relation to financial contributions to the relevant schemes; all aspects of delivering on the project outputs set out in this Agreement; reporting on the delivery of outputs as set out in Part 4 – Project Milestones, Reporting and Payments; where applicable, ensuring that only a builder or builders accredited under the Australian Government Building and Construction WHS Accreditation Scheme is contracted, and providing the necessary assurances to the Commonwealth; and where applicable, ensuring that compliance with the Building Code 2016 2013 is made a condition of tender for and performance of building work by all contractors and subcontractorssubcontractors who tender for the work, and providing the necessary assurances to the Commonwealth. Shared roles The Parties will meet the requirements of Schedule E, Clause 26 of the IGA FFR, by ensuring that prior agreement is reached on the nature and content of any events, announcements, promotional material or publicity relating to activities under this Agreement, and that the roles of both Parties will be acknowledged and recognised appropriately.

PROJECT OUTPUTS. Outputs The outputs of this Agreement will be: Construction construction of a gas refining plant in the Latrobe Valley and hydrogen liquefaction and loading facilities at the Port of Hastings; delivery of a coal preparation technologies plan for xxxxx coal that could be applied for the commercial production of hydrogen; delivery of a commercialisation plan which details the activities to be undertaken to support a decision by HEA and the Participating Organisations as to whether to invest in a commercial scale HESC; and the demonstration of a pilot hydrogen supply chain from Australia to Japan including: production of hydrogen from the successful gasification of xxxxx coal and transportation of the Mowbray River pedestrian bridge hydrogen from the Latrobe Valley to the Port of Hastings; and trail works (Mowbray River successful liquefaction of hydrogen at the Port of Hastings and transport of liquefied hydrogen from the Port of Hastings to Port Xxxxxxx) – Stage 1, including: Demolition of the Old Mowbray River Road Bridge Pedestrian bridge over the Mowbray River Viewing platform and underpass Mangrove experience boardwalk Trail to Four Mile Beach and Flagstaff Hill in Port Xxxxxxx Construction of part of the remaining trail (Mowbray River south to Palm Cove, via Wangetti) – Stage 2: Advancement of Indigenous participation on the Wangetti Trail, including; Cultural heritage agreements Indigenous Land Use Agreement (ILUA) Facilitation and development of Indigenous jobs and business opportunities associated with the construction and operation of the trailJapan. Part 3 — roles and responsibilities of each party Role of the Commonwealth The Commonwealth will be responsible for: monitoring and assessing achievement against milestones in the delivery of the Wangetti Trail Hydrogen Energy Supply Chain Pilot Project under this Agreement to ensure that outputs are delivered within the agreed timeframe; providing a consequent financial contribution to the States Victoria to support the implementation of this Agreement. ; in accordance with the Building and Construction Industry (Improving Productivity) Xxx 0000, ensuring that financial contributions to a building project or projects as defined under the Fair Work (Building Industry – Accreditation Scheme) Regulations 2016 are only made where a builder or builders accredited under the Australian Government Building and Construction WHS Accreditation Scheme is contracted; and ensuring that compliance with the Code for the Tendering and Performance of Building Work 2016 (Building Code 2016) is a condition of Australian Government funding. Role of the States and Territories Queensland Victoria Victoria will be responsible for: agreeing the contents of the HESC Agreement with the Commonwealth before it is executed with HEA; providing a matching financial contribution totalling at least $50 million to support the implementation of this the HESC Agreement; providing the Commonwealth with a copy of the HESC Agreement and any other agreements between Victoria and HEA; all aspects of delivering on the project outputs set out in this Agreement; reporting on the delivery of outputs as set out in Part 4 – Project Milestones, Reporting and Payments; ensuring that only a builder or builders accredited under the Australian Government Building and Construction WHS Accreditation Scheme is contracted, and providing the necessary assurances to the Commonwealth; and ensuring that compliance with the Building Code 2016 is made a condition of tender for and performance of building work by all contractors and subcontractors, and providing the necessary assurances to the Commonwealth; notifying the Commonwealth as soon as practicable if any of the following occur in relation to the HESC Agreement: there are any material changes to the substance of the HESC Agreement; there are any material changes to HEA’s capacity to fulfil its obligations under the HESC Agreement; there are any changes to the funding amounts under the HESC Agreement; there are any material breaches of the HESC Agreement; any disputes arise out of the HESC Agreement; and Victoria forms the opinion that a Default Event has occurred under the HESC Agreement; licensing Intellectual Property rights to the Commonwealth equivalent to those that are afforded to Victoria under the HESC Agreement; seeking Commonwealth approval of HEA’s proposed Commercialisation Plan prior to issuing Victoria’s approval; and ensuring that HEA has company guarantees for all Participating Organisations in favour of Victoria. Shared roles The Commonwealth and Victoria will agree on governance arrangements for the HESC Project, which must include: the establishment of an Intergovernmental Steering Committee to provide oversight of the Project Agreement and Victoria’s responsibilities to the Commonwealth under the HESC Agreement; and the establishment of a separate HESC Project Governance structure, including a Steering Committee with strategic oversight of the HESC project, and a Working Group to review project plans and develop project documentation.
