Project Implementation Manual. 1. No later than three (3) month after the Effective Date, the Recipient shall prepare and adopt, in accordance with terms of reference acceptable to the Association, a Project implementation manual (“Project Implementation Manual” or “PIM”) containing detailed arrangements and procedures, satisfactory to the Association, including, inter alia: (a) the different roles and responsibilities in the implementation of the Project, including the various mechanisms for ensuring close coordination and collaboration between various Project stakeholders; (b) Project budgeting, disbursement and financial management; (c) procurement; (d) monitoring, evaluation, reporting and communication; (e) environmental and social management; (f) the modalities for handling Personal Data collection and processing in accordance with applicable national law and good international practice; (g) safeguards aspects; (h) criteria for the purchase of Seeds, Livestock and Agricultural Inputs under Parts 3(b)(v) and 3(b)(vii) of the Project and for the selection of the Eligible Agricultural Beneficiaries to which Seeds, Livestock and Agricultural Inputs would be distributed; (i) template form of the Agricultural Agreement; (j) the procedures and eligibility criteria governing the LIPW to LIPW Beneficiaries and under Part 2(c)(i)(B) of the Project; (k) the template form of the LIPW Agreement; (l) the list of Excluded Activities; (m) modalities of the community solidarity chain support under Part 3(b)(v) of the Project; and (n) such other administrative, financial, technical, institutional and organizational arrangements and procedures as shall be required for the Project. 2. The Recipient shall afford the Association a reasonable opportunity to review and approve the PIM, and shall thereafter adopt such manual as it applies to the Project overall implementation; as shall have been approved by the Association 3. The Recipient shall not amend, abrogate, waive, or permit to be amended, abrogated, or waived, the aforementioned PIM, or any provision of either one thereof, without the prior written consent of the Association. 4. In the event of any conflict between the provisions of the PIM and those of this Agreement, the provisions of this Agreement shall prevail.

(a) prepare and adopt, in accordance with terms of reference acceptable furnish to the Association, for its review and no-objection, a Project implementation manual (“Project Implementation Manual” or “PIM”) containing , which shall set forth, inter alia, the following detailed arrangements and procedures, satisfactory to the Association, including, inter alia: (a) the different roles and responsibilities in procedures for the implementation of the Project, including the various mechanisms for ensuring close coordination and collaboration between various Project stakeholders; (b) Project budgeting, disbursement and financial management; (c) procurement; (d) monitoring, evaluation, reporting and communication; (e) environmental and social management; (f) the modalities for handling Personal Data collection and processing in accordance with applicable national law and good international practice; (g) safeguards aspects; (h) criteria for the purchase of Seeds, Livestock and Agricultural Inputs under Parts 3(b)(v) and 3(b)(vii) of the Project and for the selection of the Eligible Agricultural Beneficiaries to which Seeds, Livestock and Agricultural Inputs would be distributed; : (i) template form of institutional arrangements for the Agricultural Agreement; (j) the procedures and eligibility criteria governing the LIPW day to LIPW Beneficiaries and under Part 2(c)(i)(B) day execution of the Project; (kii) the template form preparation and successive updates of the LIPW Procurement Plan and its implementation arrangements; (iii) implementation arrangements for the Environmental and Social Commitment Plan (“ESCP”); (iv) detailed financial management regulations including planning and budgeting, disbursement, accounting system, internal controls, financial reporting, and auditing arrangements, and arrangements for interim support; (v) Project monitoring, reporting, evaluation and communication arrangements; (vi) eligibility and other criteria, procedures, and requirements for: (A) the selection, establishment and registration of ABPOs; (B) the selection of CRPs, Young Professionals, interns selected for the purposes of Part 2.1(b) of the Project, and Training providers under the relevant parts of the Project; (C) the provision of ABPO Grants; (D) the selection of Private Sector Entities and for carrying out of Sub-grants, including the template Sub-grant Agreement; and (lE) the list internship program under Part 2.1(b) of Excluded Activitiesthe Project, including for the financing of Stipends; (mvii) modalities of procedures to carry out the community solidarity chain support Annual Innovation Competition under Part 3(b)(v) 2.3 of the Project; and (nviii) such any other administrative, financial, technical, institutional technical and organizational arrangements and procedures as shall be required necessary for the Project.implementation of the Project and the achievement of its development objectives;
2. The Recipient shall (b) afford the Association a reasonable opportunity to review and approve the PIM, and shall thereafter proposed Project Implementation Manual; and
(c) adopt such manual as it applies to the Project overall implementation; Implementation Manual as shall have been approved accepted by the Association.
32. The Recipient shall thereafter ensure that the Project is carried out in accordance with the Project Implementation Manual, and except as the Association may otherwise agree in writing, the Recipient shall not amend, abrogate, amend or waive, or permit to be amended, abrogated, amended or waived, the aforementioned PIM, or any provision of either one thereof, without the prior written consent of the AssociationProject Implementation Manual.
4. In the event of any conflict between the provisions of the PIM and those of this Agreement, the provisions of this Agreement shall prevail.

Project Implementation Manual. 1. (d) arrangements for preventing, detecting, reporting, investigation, remediation and otherwise addressing fraud and corruption, including compliance with the Anti-Corruption Guidelines;
(e) environmental and social management systems, including on grievance redressal mechanism, GBV and sexual exploitation and abuse (SEA);
(f) measures to ensure the Associationsecurity of Project sites, includingstaff, contractors and beneficiaries;
(g) monitoring and evaluation, reporting and communication;
(h) disbursement and flow of funds arrangements;
(i) selection and eligibility criteria, procedures and terms and conditions applicable to School Community Construction Grants, including inter alia: (a) the different roles and responsibilities in the implementation milestones to be achieved for payments of the Project, including the various mechanisms for ensuring close coordination and collaboration between various Project stakeholderssuch grants; (b) Project budgeting, disbursement the composition of the SBMC; and financial management; (c) procurement; registration (d) monitoring, evaluation, reporting and communication; (e) environmental and social management; (f) the modalities for handling Personal Data collection and processing in accordance with applicable national law and good international practice; (g) safeguards aspects; (h) criteria for the purchase purpose of Seeds, Livestock and Agricultural Inputs under Parts 3(b)(v) and 3(b)(viiobtaining legal capacity) of the Project SBMC; selection and eligibility criteria, and procedures, and terms and conditions (including milestones to be achieved for the selection payments of the Eligible Agricultural Beneficiaries such grants) applicable to which Seeds, Livestock and Agricultural Inputs would be distributed; (i) template form of the Agricultural Agreement; School Improvement Grants;
(j) the procedures selection and eligibility criteria governing and procedures, and the LIPW terms and conditions (including milestones to LIPW Beneficiaries and under Part 2(c)(i)(Bbe achieved for payments of such grants) of the Project; applicable to Girl Scholarship Grants;
(k) the template form of the LIPW Agreement; (l) the list of Excluded Activities; (m) modalities of the community solidarity chain support under Part 3(b)(v) of the Project; and (n) such other administrative, financial, technical, institutional technical and organizational arrangements and procedures as shall be required for the Project; and
(l) template Sub-grant Agreements for School Community Construction Grants and School Improvement Grants, respectively, shall be included as annexes.
2. The Recipient shall afford the Association a reasonable opportunity to review and approve exchange views with the Recipient on said updated PIM, and thereafter, shall thereafter adopt such manual as it applies to the Project overall implementation; PIM, as shall have been approved by the Association.
3. The Recipient shall not amendensure that the Project is carried out in accordance with the PIM; provided, abrogatehowever, waive, or permit to be amended, abrogated, or waived, the aforementioned PIM, or any provision of either one thereof, without the prior written consent of the Association.
4. In the event that in case of any conflict between the provisions of the PIM and those the provisions of this Agreement, the provisions of this Agreement shall prevail.
4. Except as the Association shall otherwise agree, the Recipient shall not amend, abrogate or waive any provision of the PIM.

(c) eligibility criteria and procedures to be applied for the selection of Beneficiaries, including re-certification criteria and procedure for PDS Beneficiaries in UPSNP Cities, as well as schedules and modalities of delivering benefits to the Beneficiaries, and the monitoring and evaluation of benefits delivered;
(d) operational procedure governing implementation of Part 1.1 of the Project, including the various mechanisms for ensuring close coordination sequencing of activities, sectoral coordination, roles and collaboration between various Project stakeholders; (b) Project budgeting, disbursement responsibilities of one-stop shops and financial management; (c) procurement; (d) monitoring, evaluation, reporting and communication; private implementing entities;
(e) environmental operating procedures governing Public Works Sub-projects under Part
1.1 of the Project, including, inter alia, specific criteria for PW Sub- projects to be eligible for financing under the Project, selection criteria for PW Beneficiaries to participate in PW Sub-projects; and social management; guidelines for selection, approval, implementation, monitoring, evaluation and maintenance of PW Sub-projects;
(f) the modalities for handling Personal Data collection and processing in accordance with applicable national law and good international practice; (g) safeguards aspects; (h) criteria operating procedures for the purchase of Seeds, Livestock and Agricultural Inputs under Parts 3(b)(v) and 3(b)(vii) of the Project and for the selection of the Eligible Agricultural Beneficiaries to which Seeds, Livestock and Agricultural Inputs would be distributed; (i) template form of the Agricultural Agreement; (j) the procedures and eligibility criteria governing the LIPW to LIPW Beneficiaries and youth employment apprenticeship program under Part 2(c)(i)(B) 2.1 of the Project; and
(kg) the template form readiness and performance criteria for Project implementation in Regions and new cities, as well as terms of reference for assessment of the LIPW Agreement; (l) same and the list of Excluded Activities; (m) modalities of the community solidarity chain support under Part 3(b)(v) of the Project; and (n) such other administrative, financial, technical, institutional and organizational arrangements and procedures as shall be required schedule for the Projectthird-party assessment.
2. The Recipient shall afford the Association a reasonable opportunity to review and approve the PIM, and shall thereafter shall:
(a) adopt such manual as it applies to the Project overall implementation; PIM as shall have been approved by the AssociationAssociation and thereafter, shall carry out the Project, and cause the Project to be carried out, in accordance with the PIM; and
3. The Recipient (b) except as the Association shall otherwise agree in writing, not amend, abrogate, amend or waive, or permit to be amended, abrogated, amended or waived, the aforementioned PIM, or waived any provision of either one thereof, without the prior written consent of the AssociationPIM.
43. In the event case of any conflict between the provisions of the PIM and those of this Agreement, the provisions of this Agreement shall prevail.

(c) implementation of environmental and social instruments referred to in the AssociationESCP;
(d) a results-based financing procedures manual (“RBF Manual”), setting forth the implementation arrangements for the carrying out of Part 1.2(a) of the Project and including, inter alia: (ai) the different roles eligibility criteria, costing mechanism, detailed rules and responsibilities in the implementation procedures for transfers of the Project, including the various mechanisms for ensuring close coordination and collaboration between various Project stakeholdersPerformance Payments under Performance Contracts; (bii) Project budgetingdetails of the contents and procedures for the carrying out of all financial, disbursement technical, and financial managementindependent verification audits; (ciii) procurementa detailed description of all the RMNCAH-N services to be provided under the Performance Contracts; (div) monitoring, evaluation, reporting the list of Performance Indicators and communicationPerformance Results to evaluate the performance of the Selected Health Facilities under the Performance Contracts; (e) environmental and social management; (f) the modalities for handling Personal Data collection and processing in accordance with applicable national law and good international practice; (g) safeguards aspects; (hv) criteria for the purchase of Seeds, Livestock and Agricultural Inputs under Parts 3(b)(v) and 3(b)(vii) of the Project and for the selection of the Eligible Agricultural Beneficiaries performance payments to which Seeds, Livestock and Agricultural Inputs would be distributed; (i) template form of the Agricultural Agreement; (j) the procedures and eligibility criteria governing the LIPW to LIPW Beneficiaries and CHWs participating under Part 2(c)(i)(B1.2(a) of the Project; (k) the template form of the LIPW Agreement; (lvi) the list of Excluded Activities; (m) modalities of the community solidarity chain support under Selected Health Facilities that will participate in Part 3(b)(v1.2(a) of the Project; and (nvii) the model form for Performance Contract; and
(e) such other technical, administrative, financial, technical, institutional and organizational fiduciary or coordination arrangements and procedures as shall may be required for the Projectnecessary to ensure effective Project implementation.
2. The Recipient Recipient: (a) shall afford ensure that the Association a reasonable opportunity to review and approve Project is carried out in accordance with the PIM, ; and shall thereafter adopt such manual as it applies to the Project overall implementation; as shall have been approved by the Association
3. The Recipient (b) shall not assign, amend, abrogate, waive, or permit to be amended, abrogated, or waived, waive the aforementioned PIM, PIM or any provision of either one thereof, without the prior written consent agreement of the Association.
43. In Notwithstanding the foregoing, in the event of any conflict inconsistency between the provisions of the PIM PIM, and those of this Agreement, the provisions of this Agreement shall prevail.

(b) Each PIM shall prepare and adopt, be updated in accordance with terms of reference acceptable to the Association, a Project implementation manual (“Project Implementation Manual” or “PIM”) containing detailed arrangements and procedures, satisfactory to the AssociationAssociation and setting forth the rules, methods, guidelines and procedures for the carrying out of the respective parts of the Project, including, inter alia: (a) arrangements on financial management, setting forth the different detailed policies and procedures for financial management under the Project; procurement management procedures; institutional administration, coordination, and day-to-day execution of Project activities, including the respective roles and responsibilities in the implementation of each of the Project, including the various mechanisms Project Implementing Entities; monitoring and evaluation; reporting; information and communication of Project activities; guidelines for ensuring close coordination and collaboration between various Project stakeholders; (b) Project budgeting, disbursement and financial management; (c) procurement; (d) monitoring, evaluation, reporting and communication; (e) assessing potential environmental and social management; (f) the modalities for handling Personal Data collection and processing in accordance with applicable national law and good international practice; (g) safeguards aspects; (h) criteria for the purchase of Seeds, Livestock and Agricultural Inputs under Parts 3(b)(v) and 3(b)(vii) impacts of the Project and designing appropriate mitigation, management, and monitoring measures in respect of such impacts; all arrangements for the selection implementation of FI Loans, Sub-Loans, Sub-projects, and Partial Credit Guarantees criteria and pricing; the Verification Protocol applicable to certify the achievement of PBCs; the Project’s results framework and monitoring indicators; the terms and conditions of the Eligible Agricultural Beneficiaries to which SeedsParticipating Agreements, Livestock Sub-Loan Agreements and Agricultural Inputs would be distributedGuarantee Agreement; (i) template form rules, structure and mode of operation of the Agricultural Agreement; (j) the procedures Junior Credit Enhancement Facility, and eligibility criteria governing the LIPW to LIPW Beneficiaries and under Part 2(c)(i)(B) of the Project; (k) the template form of the LIPW Agreement; (l) the list of Excluded Activities; (m) modalities of the community solidarity chain support under Part 3(b)(v) of the Project; and (n) such other administrative, financial, technical, institutional technical and organizational arrangements and procedures as shall be required for the effective implementation of the Project.
2. The Recipient shall afford the Association a reasonable opportunity to review and approve the PIM, and shall thereafter adopt such manual as it applies to the Project overall implementation; as shall have been approved by the Association
3. The Recipient shall not amend, abrogate, waive, or permit to be amended, abrogated, or waived, the aforementioned PIM, or any provision of either one thereof, without the prior written consent of the Association.
4. (c) In the event case of any conflict between the provisions of the PIM Project Implementations Manuals and those the provisions of this Agreement, the provisions of this Agreement shall prevail, and except as the Association shall otherwise agree, neither the Recipient nor the Project Implementing Entities shall amend, abrogate or waive any provision of the Project Implementations Manuals.
