Prohibition Without Consent. Tenant, for itself, its heirs, distributees, executors, administrators, legal representatives, successors and assigns, expressly covenants that it shall not assign, mortgage, pledge, encumber or otherwise transfer this Lease, nor underlet, nor suffer, nor permit the Premises or any part thereof to be used or occupied by others (whether for desk space, mailing privileges or otherwise), without the prior written consent of Landlord in each instance. If this Lease be assigned, or if the Premises or any part thereof be underlet or occupied by anybody other than Tenant, Landlord may, after default by Tenant, collect rent from the assignee, undertenant or occupant, and apply the net amount collected to the Rent herein reserved, but no assignment, underletting, occupancy or collection shall be deemed a waiver of the provisions hereof, the acceptance of the assignee, undertenant or occupant as tenant, or a release of Tenant from the further performance by Tenant of covenants on the part of Tenant herein contained. Tenant, for itself, its heirs, distributees, executors, administrators, legal representatives, successors and assigns, Tenant expressly covenants that it shall not assign, mortgage, pledge, encumber (i) assign or otherwise transfer this LeaseLease or the term and estate hereby granted, nor underlet(ii) mortgage, nor sufferpledge or encumber this Lease or the Premises or any part thereof in any manner by reason of any act or omission on the part of Tenant, nor or (iii) sublet the Premises or any part thereof or permit the Premises or any part thereof to be used or occupied by others (whether for desk space, mailing privileges or otherwise), ) without the obtaining Landlord’s prior written consent of Landlord which shall not be unreasonably withheld, conditioned or delayed except as otherwise provided in each instancethis Article 12.
