PREPARATION OF TAX PACKAGE AND OTHER FINANCIAL REPORTING INFORMATION. The Subsidiary shall provide to Parent, in a format determined by Parent, all information requested by Parent as reasonably necessary to prepare the Parent Consolidated Return and the Pro Forma Subsidiary Return (the “Subsidiary Tax Package”). The Subsidiary Tax Package with respect to any taxable year shall be provided to Parent on a basis consistent with practices of the Parent Consolidated Group. The Subsidiary shall also provide to Parent information required to determine the Total Periodic Payments, current federal taxable income, current and deferred tax liabilities, tax reserve items and any additional current or prior information required by Parent on a timely basis consistent with practices of the Parent Consolidated Group.
PREPARATION OF TAX PACKAGE AND OTHER FINANCIAL REPORTING INFORMATION. Atlas America shall provide to RAI in a format determined by RAI all information requested by RAI as necessary to prepare the RAI Consolidated Return and the Pro Forma Atlas America Return (the "RAI Tax Package"). The RAI Tax Package with respect to any taxable year shall be provided to RAI on a basis consistent with current practices of the RAI Consolidated Group no later than sixty days after the close of such taxable year. Atlas America shall also provide to RAI information required to determine the Total Periodic Payments current federal taxable income current and deferred tax liabilities tax reserve items and any additional current or prior information required by RAI on a timely basis consistent with current practices of the RAI Consolidated Group.

TWC shall provide to AOL Time Warner in a format determined by AOL Time Warner all information requested by AOL Time Warner as reasonably necessary to prepare the AOL Time Warner Consolidated Return and the Pro Forma TWC Return (the "TWC Tax Package"). The TWC Tax Package with respect to any taxable year shall be provided to AOL Time Warner on a basis consistent with current practices of the AOL Time Warner Consolidated Group. TWC shall also provide to AOL Time Warner information required to determine the Estimated Tax Payments, current federal taxable income, current and deferred tax liabilities, tax reserve items, and any additional current or prior information required by AOL Time Warner on a timely basis consistent with current practices of the AOL Time Warner Consolidated Group.

Blockbuster shall provide to Viacom in a format determined by Viacom all information requested by Viacom as necessary to prepare the Viacom Consolidated Return and the Pro Forma Blockbuster Return (the “Viacom Tax Package”). The Viacom Tax Package with respect to any taxable year shall be provided to Viacom on a basis consistent with current practices of the Viacom Consolidated Group no later than April 1 of the following year. Blockbuster shall also provide to Viacom information required to determine the Total Periodic Payments, current federal taxable income, current and deferred tax liabilities, tax reserve items, and any additional current or prior information required by Viacom on a timely basis consistent with current practices of the Viacom Consolidated Group.

DNI shall provide to ANI in a format determined by ANI all information requested by ANI as necessary to prepare the ANI Consolidated Return and the Pro Forma DNI Return (the "ANI Tax Package"). The ANI Tax Package with respect to any taxable year shall be provided to ANI on a basis consistent with current practices of the ANI Consolidated Group no later than September 1 of the following fiscal year. DNI shall also provide to ANI current federal taxable income, current and deferred tax liabilities, tax reserve items, and any additional current or prior information required by ANI on a timely basis consistent with current practices of the ANI Consolidated Group as are communicated to DNI by ANI.
