Notwithstanding the foregoing, the holders of a majority of the outstanding Units may, without the concurrence of the General Partners, vote to amend this Agreement except as prohibited in Article XVII, (a) approve or disapprove the sale of all or substantially all of the assets of the Partnership (as provided in Section 2.01(a)), (b) dissolve the Partnership, (c) remove the General Partners and, except as provided in Section 8.01, elect additional or successor General Partners, and (d) approve other matters as otherwise provided in this Agreement.

In addition, a Majority in Interest of the Limited Partners shall have the right to call meetings of the Partnership in accordance with the provisions of Section 13.3 and to propose votes on the above items.

  • Rights and Duties of the Board of Managers (a) The Company is a manager-managed limited liability company. Accordingly, management of the affairs of the Company shall be vested in a Board of Managers (the “Board”).
