Power of Authority. Each such Person has the corporate or equivalent power to execute and deliver this Amendment, and to perform the provisions hereof, and this Amendment has been duly authorized by all necessary corporate or equivalent action on the part of each such Person;
Power of Authority. It has the power and authority to execute, deliver and perform its obligations under this Amendment and has taken all action necessary to authorize it to execute and deliver this Amendment and perform its obligations hereunder.
Power of Authority. Each Tenant has the power and authority to execute, deliver and perform this Amendment and to make itself jointly and severally liable for the obligations of each other Tenant. Each Tenant has taken all requisite action necessary to authorize the execution, delivery and performance of such Tenant's obligations under this Amendment.
Power of Authority. PLUG POWER has the requisite power and authority to enter into this Agreement- and to perform according to terms thereof;

While no final agreement shall be executed without ratification by the Association and adoption by the Board, the parties mutually pledge that their representatives will be clothed with all necessary power and authority to make proposals, consider proposals, and make concessions in the course of negotiation.
Power of Authority. The Servicer has the corporate power and authority to execute and deliver this Agreement and to carry out its terms. The Servicer has duly authorized the execution, delivery and performance of this Agreement by all requisite corporate action.
Power of Authority. The Purchaser has all necessary power and authority to execute and deliver this Contribution Agreement and to consummate the transactions contemplated hereby. The Contribution Agreement has been duly and validly authorized, executed and delivered by the Purchaser and, assuming its due authorization execution and delivery by each other party hereto, constitutes a legal, valid and binding obligation of the Purchaser, enforceable against the Purchaser in accordance with its terms.
Power of Authority. Borrower has full power and authority to borrow hereunder and to incur the obligations provided for herein and in each of the other Loan Documents to which Borrower is a party, all of which have been authorized by all proper and necessary action of its members.
Power of Authority. SAI has the power and authority to execute and deliver this Agreement and to perform its obligations hereunder. This Agreement has been duly authorized, executed, and delivered by SAI and constitutes the legal, valid and binding obligation of SAI enforceable against SAI in accordance with its terms.
Power of Authority. (1) The Controller has the right, at any fime, to verify the compliance in accordance with the statutory provisions and regulafions of data protecfion and/or compliance with the contractual provisions agreed upon between the parfies and/or compliance of the Processor to the instrucfions dictated by the Controller.
