Political Contributions and Other Payments. During the past five (5) years, neither the Target Corporation, Affiliated Entities, nor any other Person acting on behalf of the Target Corporation, Affiliated Entities, has (i) except for lawful political contributions in the regular, normal and ordinary course of business consistent with past custom or practice, made any payment to any official, employee or agent (domestic or foreign) of any Governmental Entity to wrongfully induce the recipient or the recipient's employer to do business with, grant favorable treatment to, or compromise or forego any claim by or against the Target Corporation, or (ii) made any significant payment or conferred any significant benefit which, the Target Corporation, in the exercise of reasonable business judgment, considers or reasonably should consider to be improper. 2.24 Occupational Safety and Health Act. Except as set forth on Schedule 2.24, the Target Corporation is in compliance with all requirements of the Occupational Safety and Health Act and the Americans With Disabilities Act, pertaining to the Target Corporation, the Assets and the Business. 2.25
