Common use of Period of Confidentiality Clause in Contracts

Period of Confidentiality. The obligations of confidentiality stated in this Agreement with respect to confidential information shall survive the termination of this Agreement for any reason whatsoever and shall continue in full force and effect until the earliest of the following should occur: (a) such confidential information has become available to the general public through no fault of the Construction Manager, or (b) such confidential information is received by the Construction Manager from third parties who are in lawful possession of such and who by such disclosures are not breaching any obligation owed to the University, or (c) such confidential information is disclosed by the Construction Manager under legal compulsion from any governmental/regulatory agency having jurisdiction to request such information; provided, however, that the Construction Manager shall notify the University prior to any such disclosure that confidential information is being disclosed to the governmental/regulatory agency involved.
