Perfection Certificates and UCC Search Results. The Agent shall have received from each of the Borrower and its Subsidiaries a completed and fully executed Perfection Certificate and the results of UCC searches with respect to the Collateral, indicating no liens other than Permitted Liens and otherwise in form and substance satisfactory to the Agent.

The Agent shall have received from each of the Borrower and the Guarantors a completed and fully executed Perfection Certificate and the results of UCC searches and other lien searches with respect to the Collateral, indicating no liens other than Permitted Liens or liens being discharged in connection with this transaction so long as the Agent has received evidence satisfactory to it that the holder of each such lien is prepared and obligated to discharge such lien on the Closing Date and otherwise in form and substance satisfactory to the Agent.

The Agent shall have received from each of the Borrower and ACFC, a completed and fully executed Perfection Certificate or a certificate of the Secretary or Assistant Secretary of the Borrower and ACFC, as the case may be, certifying that the information set forth in the Perfection Certificates delivered to the Agent on May 15, 1995 remains true and complete in all respects as of the Closing Date (other than with respect to Schedules 6(A), 6(B) and 9 thereto, copies of which changed Schedules shall have been received by each of the Banks) and the results of UCC searches with respect to its Collateral, indicating no liens other than Permitted Liens and otherwise in form and substance satisfactory to the Agent.
