Appropriate Uniform Commercial Code search results in respect of the Credit Parties, as may be reasonably requested by the Administrative Agent, from Delaware and any other relevant jurisdiction, reflecting no prior Liens encumbering the properties of any Credit Party, other than those which shall be released prior to or contemporaneously with the Funding Date and Permitted Liens.
Uniform Commercial Code Searches. Uniform Commercial Code searches (which searches shall be made or caused to be made by and at the expense of Buyer) of filings made pursuant to Article 9 thereof in all jurisdictions where any assets of the Company are located, in form, scope and substance reasonably satisfactory to Buyer and its counsel, shall not disclose any liens, claims, security interests or encumbrances against any of such assets disclosed thereby except liens, claims, security interests

Austxx xxxll, at its own expense, conduct, or cause to be conducted, a search in each state and county in which either the Company or Austxx xxxducts its business or maintains any assets or properties for financing statements filed in such states and counties under the applicable provisions of the Uniform Commercial Code. Not later than 10 days prior to the Closing Date, Austxx xxxll deliver a list, certified as true and complete by an officer of Austxx, xx all financing statements or other liens recorded in such jurisdictions and a description of the property and assets encumbered thereby. The Term Agent (or, at the Term Agent’s direction, its counsel) shall notify the Borrower of the Initial Closing Date, and such notice shall be conclusive and binding.

Twenty (20) days from the Notice -------------------------------- Date, Buyer shall obtain a statement from the Title Company after appropriate searches of the Uniform Commercial Code ("UCC") records of the Secretary of State of Florida and the Clerk of the Circuit Court of Polk County, Florida, reflecting all UCC financing statements (if any) filed of record affecting the Premises. Buyer shall give notice to Seller of all releases of financing statements that will be required at Closing. Seller shall cause any such statements to be released at or prior to Closing.

Purchaser shall bear any and all costs associated with conducting such searches.

Xxxxx are located, in form, scope and substance reasonably satisfactory to THC and its counsel, shall not disclose any liens, claims, security interests or encumbrances against any of such assets disclosed thereby except liens, claims, security interests or encumbrances that are released or terminated by Colonial, SP and the Operating Companies prior to or at the time of Closing.
