Payment of Purchase Price; Final Remarketing. (a) (i) Unless a Tax Event Redemption, Successful Initial Remarketing or Termination Event has occurred or a Holder of an Equity Unit effects an Early Settlement of the underlying Warrant in the manner described in SECTION 5.08, each Holder who intends to pay in cash to satisfy such Holder's obligations under the Warrant shall notify the Warrant Agent by use of a notice in substantially the form of EXHIBIT E hereto of his intention to pay in cash ("CASH SETTLEMENT") the Purchase Price for the shares of Common Stock to be purchased pursuant to the related Warrant. Such notice shall be given prior to 5:00 p.m. (New York City time) on the fourth Business Day immediately preceding the Warrant Settlement Date. Prior to 5:00 p.m. (New York City time) on the next succeeding Business Day, the Warrant Agent shall notify the Collateral Agent and the Indenture Trustee of the receipt of such notices from Holders intending to make a Cash Settlement.

Such amount will then be paid as part of the settlement process pursuant to Article VIII.
