Payment of and Indemnification for Leasing Commissions. The parties hereby acknowledge, represent and warrant that the only real estate broker or brokers involved in the negotiation and execution of this Lease is that (or are those) named in Item I of the Basic Lease Provisions and that no other broker or person is entitled to any leasing commission or compensation as a result of the negotiation or execution of this Lease. Tenant hereby indemnifies and holds Landlord harmless from any and all liability for the breach of any such representation and warranty on its part and shall pay any compensation to any other broker or person who may be deemed or held to be entitled thereto.

Landlord hereby agrees to pay a brokerage fee in the amount of Two Hundred Thirty Thousand Dollars ($230,000.00) to Meridian Real Estate Services within fifteen (15) days of the later to occur of (i) Tenant's approval of the Shell Plans and Specifications as provided in Section 2.02.A.; or (ii) Landlord's completion of the acquisition of the Land as provided in Section 20.09. The brokerage fee is in consideration of Tenant leasing the Leased Premises from Landlord for the full term of this Lease.
