Parent Stock Price. As soon as practicable after the determination of the amount of cash, if any, to be paid to holders of Company Stock in lieu of any fractional share interests in Parent Common Stock, the Exchange Agent shall make available such amounts, without interest, to the holders of Company Stock entitled to receive such cash.
Parent Stock Price. The per share last sale price of Parent Common Stock as reported by the New York Stock Exchange not later than 3:00 pm, Eastern Time, on the Closing Date shall not be less than $21.09.
Parent Stock Price. Parent Common Stock shall have a per share price of $0.75. Parent Series A Preferred Stock shall have a per share price of $0.75. Parent Series B Preferred Stock shall have a per share price of $0.75.
Parent Stock Price. If Buyer elects to pay the amount set forth in Section 2.1(a) in Common Stock, the Average Market Value of Common Stock determined pursuant to Sections 2.1(a) and 2.2 hereof shall be no less than $25.00 per share.
Parent Stock Price. The closing price of Parent Common Stock on the trading day immediately prior to the Closing Date shall not have been less than $7.00.
Parent Stock Price. For purposes of this Article I, Parent Common Stock shall be valued at $49.25 per share (the "Parent Stock Price").
Parent Stock Price. In the case of the Company only, if the Company Board so determines by a majority vote of the members of the entire Company Board, it will have the right to terminate this Agreement, at any time during the five-day period commencing on and following the Determination Date (as defined below), such termination to be effective on the 30th day following such Determination Date, if both of the following conditions are satisfied:
Parent Stock Price. The Parent closing stock price on the ------------------ day prior to the Close shall be equal or greater than $3.85.
Parent Stock Price. As soon as practicable after the determination of the amount of cash, if any, to be paid to holders of Certificates or Book-Entry Shares formerly representing Company Shares with respect to any fractional Parent Share interests, the Exchange Agent will make available such amounts to such holders of Company Certificates or Book-Entry Shares formerly representing Company Shares subject to and in accordance with the terms of Section 1.9(b)(i).
Parent Stock Price. The 30-Day Trailing VWAP of the Parent Common Stock at Closing shall be no less than $10.367.
