Parent Officer’s Certificate. The Company shall have received from Parent a certificate, dated the Closing Date and signed on behalf of Parent by a duly authorized officer of Parent, certifying that the conditions set forth in clauses (a) and (b) of this Section 7.03 have been satisfied.
Parent Officer’s Certificate. The Company shall have received a certificate executed by a duly authorized officer of Parent, in his or her capacity as such, confirming that the conditions set forth in Sections 7.1 (Accuracy of Parent and Merger Sub Representations) and 7.2 (Performance of Covenants) have been duly satisfied.
Parent Officer’s Certificate. Parent shall have delivered to the Company a certificate, dated as of the date of the Merger Effective Time, executed on behalf of Parent by an executive officer of Parent, certifying that the conditions set forth in Section 10.1 and Section 10.2 have been duly satisfied.
Parent Officer’s Certificate. An authorized officer of Parent shall have executed and delivered to the Company a certificate (the “Parent Closing Certificate”) as to compliance with the conditions set forth in Section 6.2(a) and Section 6.2(b) hereof;
Parent Officer’s Certificate. The Company shall have received a certificate, signed by the chief executive officer or chief financial officer of Parent, certifying as to the matters set forth in Section 6.3(a) and Section 6.3(b).
Parent Officer’s Certificate. At the Closing, the Company and the Stockholders shall have received a duly executed certificate on behalf of Parent by an authorized officer to the effect set forth in Section 7.2(a).
Parent Officer’s Certificate. SXCP General Partner shall have received a certificate, dated as of the Closing Date, of an executive officer of Parent certifying to the matters set forth in Section 6.3(a).
Parent Officer’s Certificate. Parent shall have delivered to the Company an executed officers' certificate, substantially in the form of Exhibit M, dated the Closing Date, signed by the Chief Executive Officer, the Chief Financial Officer and the Chief Operations Officer of Parent, certifying the fulfillment of the conditions specified in Section 7.3(a) through Section 7.3(g)
Parent Officer’s Certificate. TBO shall have received a certificate of an authorized officer of Parent certifying as to the matters set forth in Section 7.3(a), (b) and (c).
Parent Officer’s Certificate. Parent shall have delivered to Sweden Buyer (for itself and on behalf of U.S. Buyer) a certificate, dated as of the Closing Date and executed by a duly authorized representative of Parent and Sweden Seller, certifying to the fulfillment of the conditions set forth in Section 8.1 and Section 8.3.
