Owner Use of Hotel for Marketing and Sales. Owner shall not market, promote or sell, or enter into any agreement or other arrangement to market, promote or sell, any products or services at or in connection with the Hotel without Operator’s prior written approval, in its sole discretion. If Owner enters into any agreement or arrangement with respect to the promotion or sale, or any products or services at or in connection with the Hotel without Operator’s prior written approval, Operator shall have the right to require Owner to immediately terminate such agreement or other arrangement, regardless if such termination results in additional costs and penalties, and Owner shall be solely responsible for the payment of all such costs and penalties resulting from such termination.

Stumps shall not exceed, on the side adjacent to the highest ground, the maximum heights set forth in A6, except that occasional stumps of greater heights are acceptable when Purchaser determines that they are necessary for safe and efficient conduct of logging. Unless otherwise agreed, Purchaser shall re-cut high stumps so they will not exceed heights specified in A6 and shall dispose of severed portions in the same manner as other logging debris.   • Marketing Materials (a) During the term of this Agreement, the Sub-Adviser agrees to furnish the Manager at its principal office for prior review and approval by the Manager all written and/or printed materials, including but not limited to, PowerPointÒ or slide presentations, news releases, advertisements, brochures, fact sheets and other promotional, informational or marketing materials (the “Marketing Materials”) for internal use or public dissemination, that are produced or are for use or reference by the Sub-Adviser, its affiliates or other designees, broker-dealers or the public in connection with the Series, and Sub-Adviser shall not use any such materials if the Manager reasonably objects in writing within five business days (or such other period as may be mutually agreed) after receipt thereof.   • DEVELOPMENT OR ASSISTANCE IN DEVELOPMENT OF SPECIFICATIONS REQUIREMENTS/ STATEMENTS OF WORK Firms and/or individuals that assisted in the development or drafting of the specifications, requirements, statements of work, or solicitation documents contained herein are excluded from competing for this solicitation.
