Overlines and Overadvances. In the event the unpaid principal amount of the outstanding Revolving Loans and Letters of Credit under the Revolving Loan Commitment ever exceeds the maximum Borrowing Base Amount), Borrowers agree to pay the excess amount (an "overline") immediately upon demand by Bank. In the event the unpaid principal amount of the outstanding Revolving Loans and Letters of Credit under the Revolving Loan Commitment ever exceeds the current Borrowing Base Amount then in effect, Borrowers agree to pay the excess amount (an "overadvance") immediately upon demand by Bank. Overlines and overadvances shall bear interest at the rate stated in the Note. If not sooner paid, interest on overlines and overadvances shall be paid on the first day of each month, until the Termination Date. Upon request of Bank, Borrowers shall execute a promissory note, payable to the order of Bank, to represent the amount of any overline and any overadvance; however, Borrowers acknowledge and agree that the records of Bank and this Agreement shall constitute conclusive evidence of any overline or overadvance and the obligation of Borrowers to repay any overline or overadvance, with interest. All overlines and overadvances for which Bank has not demanded payment earlier, and all unpaid and accrued interest on overlines and overadvances not due and payable earlier, shall be due and payable on the Termination Date. Borrowers acknowledge and agree that Bank is not obligated to Borrowers to make any Revolving Loan or issue Letters of Credit that would create an overline or an overadvance.

Overlines and Overadvances. Notwithstanding the provisions of Section 2.1 hereof, in the event that at any time the aggregate unpaid principal amount of the Revolving Loans ever exceeds $2,500,000.00, Debtor agrees to pay the excess amount (an "overline") immediately upon demand by Bank. Overlines shall bear interest prior to maturity of the Note at the Contract Rate for Base Rate Loans. Upon request of Bank, Debtor shall execute a promissory note, payable to the order of Bank, to represent the amount of any overline; however, Debtor acknowledges and agrees that the records of Bank and this Agreement shall constitute conclusive evidence of any overline and the obligation of Debtor to repay any overline, with interest. All overlines for which Bank has not demanded payment earlier, and all unpaid and accrued interest on overlines not due and payable earlier, shall be due and payable on the Termination Date. Debtor acknowledges and agrees that Bank is not obligated to Debtor to fund any advance which would create an overline.

  • Loan Advances During the Revolving Period, the Borrower may, at its option, request the Revolving Lenders to make advances of funds (each, a “Loan Advance”) by delivering a Funding Notice with respect to such Loan Advance to the Administrative Agent, which shall provide notification to the Revolving Lenders with respect thereto, in an aggregate amount up to the Availability as of the proposed Funding Date of the Loan Advance; provided, however, that no Revolving Lender shall be obligated to make any Loan Advance on or after the date that is two (2) Business Days prior to the earlier to occur of the applicable Revolving Period End Date or the Termination Date. Following the receipt of a Funding Notice during the Revolving Period, subject to the terms and conditions hereinafter set forth, the Revolving Lenders shall fund such Loan Advance.

  • Term Loan Advances Subject to Section 2.3(b), the principal amount outstanding for each Term Loan Advance shall accrue interest at a floating per annum rate equal to the Prime Rate, plus three-quarters of one percent (0.75%), which interest shall be payable monthly in accordance with Section 2.1.2(b) above and Section 2.3(d) below.

  • Protective Advances (a) Subject to the limitations set forth below, the Administrative Agent is authorized by the Company and the Lenders, from time to time during the Availability Period, in the Administrative Agent’s sole discretion (but with no obligation), to make Loans in US Dollars to the Company, on behalf of all Lenders, which the Administrative Agent, in its Permitted Discretion, deems necessary or desirable (i) to preserve or protect the Collateral or any portion thereof, (ii) to enhance the likelihood of, or maximize the amount of, repayment of the Loans and other Obligations or (iii) to pay any other amount chargeable to or required to be paid by the Borrowers pursuant to the terms of this Agreement, including payments of reimbursable expenses (including costs, fees, and expenses described in Section 8.03) and other sums payable under the Loan Documents (any such Loans are herein referred to as “Protective Advances”); provided that the aggregate principal amount of Protective Advances outstanding at any time shall not exceed $50,000,000; provided further that the making of any Protective Advance shall not cause the Aggregate Credit Exposure to exceed the Aggregate Commitments. Protective Advances may be made when a Default exists or the conditions precedent set forth in Section 4.02 are not otherwise satisfied. The Protective Advances shall be secured by the Liens created by the Collateral Documents and shall constitute Obligations. The Company shall be required to repay (or, subject to the satisfaction of the conditions precedent set forth in Section 4.02, refinance with the proceeds of a Borrowing) each Protective Advance within 45 days after such Protective Advance is made. Without affecting Protective Advances already made, the Administrative Agent’s authorization to make future Protective Advances may be revoked at any time by the Required Lenders. Any such revocation must be in writing and shall become effective prospectively upon the Administrative Agent’s receipt thereof. At any time that there is sufficient Excess Availability and the conditions precedent set forth in Section 4.02 have been satisfied, the Administrative Agent may request, on behalf of the Company, the Lenders to make ABR Loans to repay any Protective Advance. At any other time the Administrative Agent may require the Lenders to acquire participations in any Protective Advance as described in Section 2.04(b).

  • Equipment Advances Except as set forth in Section 2.3(b), the Equipment Advances shall bear interest, on the outstanding daily balance thereof, at a rate equal to 0.50% above the Prime Rate.

  • LENDERS KeyBank, the other lending institutions which are party hereto and any other Person which becomes an assignee of any rights of a Lender pursuant to §18 (but not including any participant as described in §18). The Issuing Lender shall be a Lender, as applicable. The Swing Loan Lender shall be a Lender.
