Outside Businesses and Investments. The Managers, any Unit Holder and any Affiliates of either of the foregoing, may engage in or possess an interest in other business ventures of any nature or description, independently or with others, similar or dissimilar to the business of the Company, and neither the Company, the Managers nor any Unit Holder shall have any rights by virtue of this Agreement in and to such independent ventures or the income or profits derived therefrom, and the pursuit of any such venture, even if competitive with the business of the Company, shall not be deemed wrongful or improper. Neither the Managers, any Unit Holder nor any Affiliate of either of the foregoing, shall be obligated to present any particular investment opportunity to the Company even if such opportunity is of a character that, if presented to the Company, could be taken by the Company. Except as specifically set forth in this Section 11.2: (i) neither the Company nor any Unit Holder shall have any right by virtue of this Agreement or the existence of the Company in and to such ventures or activities or to the income or profits derived therefrom; and (ii) the Managers and their respective Affiliates and clients shall have no duty or obligation to make any reports to the Unit Holders or the Company with respect to any such ventures or activities.
