Common use of Other Consequences Clause in Contracts

Other Consequences. Upon termination or expiry of this Agreement for any reason: (a) the Supplier will at its own cost deliver to the Company (and not retain any copies of) Confidential Information of the Company and other property of the Company identifiable or designated as Company property (including documents, data, records, registers, files, security packets, stationery, cheques and agreements) in the possession or control of the Supplier; and (b) the Company may acquire all or part of the Supply from another supplier and the Supplier agrees to do all things, execute all documents and provide the Company with all assistance and information that the Company considers necessary or desirable to: (i) enable the Supply to be provided by another supplier; and (ii) ensure an orderly and smooth transition of the provision of the Supply from it to the other supplier.
