Organization of the Companies and Related Matters; -------------------------------------------------- Capitalization. (a) Each of the Companies, ICMI, PCLG, and each of the Funds has -------------- been duly organized as a corporation, limited liability company or limited partnership, as the case may be, and is validly existing and in good standing under the laws of its jurisdiction of organization. Each of the Companies, ICMI, PCLG and each of the Funds has full corporate or other power and authority to carry on its business as it is now being conducted, to own, lease and operate all of its properties and assets, and is duly licensed or qualified to do business in each jurisdiction in which the nature of the business conducted by it or the character or location of the properties and assets owned, leased or operated by it makes such qualification or licensing necessary, except for those jurisdictions where the failure to be so qualified or licensed would not, individually or in the aggregate, have a Seller Material Adverse Effect. The organizational documents and operating or partnership agreements of each of PCM, CCC, ICMI, PCLG and each of the Funds and any amendments thereto, complete and correct copies of each of which as in effect on the date hereof have heretofore been made available to Buyer, have been filed with or notified to all applicable Governmental Authorities to the extent required by Applicable Law.
