Duly Licensed. Such Party is duly licensed, authorized or qualified to do business and is in good standing (where such concept applies) in every jurisdiction in which a license, authorization or qualification is required for the ownership or leasing of its assets or the transaction of business of the character transacted by it, except where the failure to be so licensed, authorized or qualified would not have a material adverse effect on such Party’s ability to fulfill its obligations hereunder.
Duly Licensed. You are and shall be duly licensed and in good standing to provide all of the services you furnish in the State of New York, as applicable to you.
Duly Licensed. Each Credit Party: (a) is, in all material respects, duly licensed, registered or qualified to carry on business in all jurisdictions where the character of its assets and property owned or leased or the nature of the activities conducted by it make such licensing, registration or qualification necessary or desirable under Applicable Law, and (b) holds all licences, permits, orders, approvals, notices, registrations and all other prerequisites for conducting its business under Applicable Law, in all material respects.
Duly Licensed. Broker possesses all necessary licenses, permits, and authority to execute and deliver this Agreement to engage in the activities contemplated by this Agreement, and Broker is in full compliance in all respects, and in good standing, with all regulatory and supervisory agencies having jurisdiction over Broker.
Duly Licensed. Broker has all licenses necessary to carry on its business as it is now being conducted and is duly licensed and qualified, where required by law, to the extent that Broker engages in the business of brokering real estate-secured mortgage loans that have a commercial or business purpose. Broker is in full compliance in all respects with all regulatory and supervisory agencies having jurisdiction over the Broker. In the event of any change in Broker’s licensing status, legal condition, or if any representation contained in this Agreement or Broker’s Registration Form submitted to FACo should change or no longer be accurate, Broker agrees to immediately notify FACo at the number supplied in the Registration materials of any such change.
Duly Licensed. Consultant has all licenses necessary to carry on its business as it is now being conducted and is duly licensed and qualified, where required by law, to the extent that Consultant engages in the business of coordinating or arranging real estate-secured mortgage loans that have a commercial or business purpose. Consultant is in full compliance in all respects with all regulatory and supervisory agencies having jurisdictionover the Consultant. In the event of any change in Consultant’s licensing status, legal condition, or if any representation contained in this Agreement or otherwise submitted to ALTLOAN should change or no longer be accurate, Consultant agrees to immediately notify ALTLOAN consistent with this Agreement. The burden of proof of compliance with licensing in the jurisdiction where the Consultant is engaged in business and the jurisdiction where the subject property giving rise to the Consulting Fee is located is the sole and exclusive responsibility of Consultant.
Duly Licensed. The Agent possesses all licenses required in each state or jurisdiction to perform its obligations under this Agreement and to be appointed by the Company in such states. Upon reasonable request, Agent shall provide to the Company current copies of all licenses required to perform the Agent’s obligations under this agreement. Agent agrees to immediately notify the Company of any termination, suspension, or expiration of any insurance license(s) that he/she holds with any state department of insurance.
Duly Licensed. BROKER possesses all necessary licenses and permits from all applicable local, state and federal authorities to engage in the activities contemplated by this Agreement.
Duly Licensed. All parties which have had any interest in the Loans, whether as mortgagee, assignee (other than Buyer or assignee of Buyer) or pledgee are (or during the period in which they held and disposed of such interest, were) in compliance with all applicable licensing requirements of the federal, state, and local government wherein the Mortgaged Property is located.
Duly Licensed. The Corporation is duly licensed, registered or qualified to carry on its Business in all jurisdictions where the character of its assets and property owned or leased or the nature of the activities conducted by it make such licensing, registration or qualification necessary or desirable under Applicable Law. The Corporation holds all Material Licences, Permits and all other prerequisites for conducting its Business under Applicable Law except where any failure to hold a Material Licence or Permit could not reasonably be expected to result in a Material Adverse Effect and there are no other Material Licenses, Permits or other prerequisites for conducting its Business under Applicable Laws other than as already obtained;
