Mutual Condition. The obligations of the Placement Agent and the Company hereunder are subject to the execution by each investor of a Subscription Agreement in form and substance acceptable to the Placement Agent and the Company and deposit by such investor with the escrow agent of all funds required to be so deposited by such investor.
Mutual Condition. The obligation of each of the Vendor and the Purchaser to complete the transactions contemplated by this Agreement is subject to title to the Property having been created as a separate legal parcel in accordance with the Land Title Act (British Columbia) by the date which 10 days prior to the Closing Date. The Parties acknowledge and agree that the foregoing mutual condition may only be satisfied as a matter of fact and cannot be waived by the parties. If such mutual condition has not been satisfied by the aforesaid date (as such date may be extended by agreement in writing), then this Agreement shall terminate and each of the parties hereto shall have no further obligations to, nor rights against, the other in respect of this Agreement.
Mutual Condition. The obligations of each of Buyer and Seller to effect the Closing shall be subject to no temporary restraining order, preliminary or permanent injunction or other order issued by a court of competent jurisdiction or other legal restraint or prohibition preventing the consummation of the transactions contemplated by this Agreement being in effect. ARTICLE IX SURVIVAL OF REPRESENTATIONS, WARRANTIES,
Mutual Condition. The respective obligations of Sellers and Purchaser to consummate the transactions contemplated by this Agreement shall be subject to the fulfillment, at or prior to the Closing, of the condition, which may, to the extent permitted by applicable Law, be waived in writing by Sellers and Purchaser in each of their respective sole discretion, that no Governmental Authority shall have enacted, issued, promulgated, enforced or entered any law (whether temporary, preliminary or permanent) that is then in effect and that enjoins, restrains, conditions, makes illegal or otherwise prohibits the consummation of the transactions contemplated by this Agreement.
Mutual Condition. The obligations of the parties hereto to enter into and consummate the transactions contemplated hereby are subject to the acceptance for payment and payment by Purchaser of shares of International Common Stock pursuant to the Offer.
Mutual Condition. The respective obligations of the Purchaser, Leucadia and the Seller to consummate the transactions contemplated by this Agreement are subject to the satisfaction or waiver at or prior to the Closing of the following condition:
Mutual Condition. The respective obligations of each party to consummate the transactions contemplated by this Agreement shall be subject to the fulfillment at or prior to Closing of the condition that no Governmental Authority of competent jurisdiction shall have (i) enacted, issued, promulgated, enforced or entered any statute, rule, regulation, judgment, decree, injunction or other order which is in effect; or (ii) commenced or threatened any action or proceeding, which in the case of either clause (i) or (ii) would prohibit consummation of the transactions contemplated by this Agreement.
Mutual Condition. The obligations of the Seller and the Purchaser to consummate the transaction contemplated by this Agreement are subject to the satisfaction of the mutual condition that, on each Purchase Date, no action, suit or proceeding shall be pending or threatened before any court or governmental agency in which damages or other relief in connection with this Agreement or the consummation of the transaction contemplated hereby is sought from the Seller or the Purchaser.
Mutual Condition. The obligations of each of the Parties to consummate the purchase and sale of the Interest and the other transactions contemplated by this Agreement shall be subject to the following conditions: (i) no temporary restraining order, preliminary or permanent injunction or other order or decree which prevents the consummation of the purchase and sale of the Interest and the other transactions contemplated by this Agreement shall have been issued and remain in effect, and (ii) no statute, rule or regulation shall have been enacted by any state or federal government or governmental agency which would prevent the consummation of the purchase and sale of the Interest and the other transactions contemplated by this Agreement.
Mutual Condition. The obligation of the Parties to consummate the Option Closing or the Put Closing, as applicable, shall be subject to the satisfaction (or waiver, if permissible under applicable Legal Requirements) of the following conditions:
