Option to Acquire the Company. At any time after the Effective Date and through and including December 31, 2014 (the “Option Period”), Amarantus shall have an irrevocable option (the “Option”), but not the obligation, to acquire the Company pursuant to the SPA, on the terms and subject to the conditions set forth in the Form SPA. If Amarantus elects to exercise the Option, such exercise shall be effected by giving written notice to Lonza on or prior to the end of the Option Period (the date such notice is delivered, the “Option Exercise Date”).

Option to Acquire the Company. At any time after the payment of the Exclusivity Payment and through and including the Option Exercise Termination Date (the “Option Exercise Period”), the Optionee shall have an exclusive irrevocable option (the “Option”), but not the obligation, exercisable in the Optionee’s sole discretion, to elect to require the Company to effect the Merger, on the terms and subject to the conditions set forth in the Merger Agreement. The Optionee shall exercise the Option, if at all, by giving written notice to the Company of the exercise of the Option (an “Option Exercise Notice”) on or prior to the Option Exercise Termination Date (the date such notice is delivered, the “Option Exercise Date”).
