Opinion of Outside Counsel for Offerors. At the Closing Time, the Underwriter shall have received the favorable opinion, dated as of the Closing Time, of Xxxxxx Xxxx & Xxxxxx L.L.P., counsel for the Offerors, in form and substance reasonably satisfactory to the Underwriter. Such counsel may state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of Trustees of the Trust, officers of the Company or any designated subsidiary and certificates of public officials. Such counsel may also state that, insofar as such opinion involves matters of Massachusetts law, they have relied, to the extent they deem proper, on local Massachusetts counsel acceptable to the Underwriter.
Opinion of Outside Counsel for Offerors. At the Closing Time, the Initial Purchasers shall have received the favorable opinion, dated as of the Closing Time, of Pitney, Xxxxxx, Xxxx & Xxxxx, counsel for the Company, to the effect set forth in Exhibit A hereto.

Such counsel may state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of Trustees of the Trust, officers of the Company and Stifel Nicolaus and certificates of public officials. In giving such oxxxxxx, xxxx xxunsel may rely upon the opinion of Richards, Layton & Finger, P.A., special Delaware counsel to the Offerxxx, xx xx xxxxxin matters relating to the Trust and the Preferred Securities which are governed by Delaware law.

The favorable opinion of Bryan Cave LLP, counsel for the Offerors, dated such Date of Delivery, xxxxting to the Optional Preferred Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(c) of this Agreement.
